Penyao Environmental Protection Co. Ltd. (“Penyao” or the “Company”) is a leading integrated private utility operator that primarily engages in water supply (WS) and wastewater treatment (“WWT”) by owning/operating TOT (Transfer, Operate and Transfer) and BOT (Build, Operate and Transfer) assets, by providing both EPC and BT services and by sales and manufacturing of environmental protection equipment. Established in 1984, Penyao has completed over 1,300 water and WWT projects in China and is a global Top 50 BOT operators by Global Water Intelligence (“GWI”).
In 2017 IFC committed a US$ 100 million equivalent A loan (“the Project”) to finance Penyao’s water treatment projects, noting that the investments could be committed and disbursed in phases. Phase I was a RMB 410 million loan (approximately equivalent of US$ 60 million) that supported Penyao for the development of three (3) WWT projects and two (2) Bulk Water Supply (WS) projects in five (5) counties and refinance some short-term debt. The Environmental and Social Review Summary (ESRS) prepared for the Phase I (IFC project # 39729) was disclosed on Jun 16, 2017 (https://disclosures.ifc.org/project-detail/ESRS/39279/penyao). The E&S performance of activities under Phase I has been satisfactory to date.
This ESRS is being updated in June 2022 to reflect the findings of IFC’s E&S due diligence of Phase II of the project, which includes a loan for RMB 280 million (US$41.2 million). The projects listed below are those being considered for financing under Phase II:

The scope of review of Phase I conducted in 2017 focused on the five plants to be financed by IFC and included an assessment of the management capacity of the Company to continue to provide adequate oversight of environmental, social, health and safety (E&S) performance in relation to IFC Performance Standards, regulatory requirements and relevant aspects of applicable World Bank Group Environmental Health and Safety guidelines (EHS Guidelines). The review relied on documents and reports made available by Penyao, IFC technical expert’s assessment and interviews conducted by IFC staff during their site visits in April 2017. The IFC team visited the Company's water supply and wastewater treatment projects and related facilities. IFC conducted interviews with key management personnel, operational managers and staff and human resources (HR) of the Company. The client’s E&S performance under a previous project approved in 2017 was also considered at the time (https://disclosures.ifc.org/#/projectDetail/ESRS/25633).
IFC’s E&S review for Phase II included a virtual appraisal which took place between Feb 21st to 25th 2022, with subsequent site visits conducted from February 26th to 28th, 2022. The virtual appraisal process included interviews with Penyao’s corporate and plant management teams.
Site visits included (i) five STPs of the Yunlin project; ii) two potential sites for the Chengnan WWTP; iii) Chengbei WWTP that is in the process of being upgraded; v) Yuanjiang WWTP in operation; and vi) construction workers accommodations of the Chengbei WWTP. Interviews were conducted with Penyao employees, management team members, and community members of local villages where projects are located.
The documents reviewed included client E&S management system (ESMS) documents, procedures and monitoring reports, completion documents linked to Phase I E&S Action Plan (ESAP), proof of environmental permits/and E&S impact assessments (ESIA) (for new sites).
