Trivon has a varied shareholder base with the executive founders, Mr. Markus Mueller (CEO Acquisitions and Finance) and Mr. Istvan Kovacs (CEO Operations) holding 6.3% and 3.1% shareholding respectively. Both Mr. Mueller and Mr. Kovacs have over 20 years experience in the telecom and information technology industry. Prior to founding Trivon, Mr. Mueller was Chief Financial Officer at a Swiss private family office managing assets in excess of US$1bn. Mr. Kovacs spent his earlier career at Lockheed Martin Intersputnik in various roles, the last of which was VP Central Europe of Lockheed Martin Global Telecom. Other shareholders in the project are Virgin (16.6% shareholding), Delta Partners (15.2% shareholding), and Eurasia Capital (13.5% shareholding) while the remaining shareholding of 45.3% is held by a number of high-net-worth individuals. Virgin is a leading branded venture capital organization and is one of the world's most recognized and respected brands. Delta Partners is a leading integrated management advisory and investment firm specialized in emerging telecom and technology markets, while Eurasia Capital is a fund management firm focused on investing and advising in emerging markets including Russia, Central Asia and Mongolia. Trivon operates in the Russian market under the brand name “Virgin Connect”. The Company has the right to use the Virgin brand name in the Russian market under a long term franchise agreement with Virgin.

Total Project Costs is estimated at US$131 million. IFC’s proposed equity investment of up to US$25 million will mostly be used for network optimization of current operations, and for partial funding of the Company’s expected acquisitions. The remaining financing will come from existing investors as well as potential co-investors.

Trivon is nominally headquartered in Zug, Switzerland and has its main office in Moscow with sales offices in fifteen regions across Russia.

1. Increase Access to Broadband: The Company mainly operates in fifteen regions of Russia. The Company's strategy is to acquire operators in these regions lacking the necessary cash resources to invest in their own infrastructure and then invest in the required infrastructure to increase broadband penetration. 2. Increase Competition: Currently 82% of the broadband market is captured by six operators with the remaining 18% spread between several dozens of smaller operators. As the Company expands, offering high quality broadband services with exceptional customer service, incumbent operators will start investing in infrastructure to increase their service levels, resulting in a more competitive market in which broadband prices are expected to decline, benefiting customers. 3. Employment Creation and Skills Transfer: As the Company expands local jobs will be created and with the Company's commitment towards providing high quality training to all their staff, local talent and skills deployment will be enhanced in frontier regions of Russia.

Fill Funding Gap: IFC's participation in the financing will help plug the funding gap of the Company which will enable it to complete the financial plan in an environment where financial institutions are scaling back. 2. Improve Corporate Governance: IFC's investment and continued involvement will help the Company improve its corporate governance in line with international standards. 3. Stamp of Approval: IFC's presence in the project provides comfort to the other investors investing in the Company particularly individual investors.

Environmental and social risks and impacts in this project are expected to be low, so the project is classified as Category C according to IFC''s environmental and social review procedure.
