Project Description

Kosmos Energy (“Kosmos” or the “Company”) is an oil exploration and development company, listed in the New York Stock Exchange (“NYSE”). Kosmos’ current asset portfolio includes world-class discoveries and exploration prospects in Ghana, as well as exploration licenses with significant hydrocarbon potential in Cameroon and Morocco.

The key elements of Kosmos’ business plan are: (i) to complete the development of the Jubilee oil field in Ghana which commenced oil production on November 28, 2010; and (ii) complete the appraisal and development of its other hydrocarbon discoveries offshore Ghana (the “Project”). Over the longer term, Kosmos plans to conduct exploration work on its existing inventory of other licenses in West Africa and to replicate its exploratory success through new ventures in other regions of the African continent.

To fund these activities, Kosmos launched a multipronged approach aimed at tapping the equity and debt markets. This included first raising a US$2 billion debt facility to restructure its existing debt (including IFC’s prior loan), then taking the Company public to access additional equity, and finally syndicating the debt facility. Kosmos may also seek to increase the facility to US$3 billion, subject to market appetite, liquidity and timing of development activities. The first phase of the debt facility and the IPO are now complete; Kosmos and the bank underwriters are currently in the syndication phase for which they are seeking IFC’s support and participation.
