The main sponsors and major Shareholders of the project are Capital Services Holding Corporation and Tata Capital Ltd. Capital Services Holding Corporation (CSG) CSG, headquartered in Tokyo, Japan, offers its loan servicing, real estate management, technology solutions and related services across Asia through its network of local offices in Japan, Thailand, Philippines, Singapore, Malaysia, Taiwan and China. CSG has US$8 billion of assets under management. CSGs distressed debt servicing operations in Japan and Thailand have both attained the highest special servicer ratings by Fitch Ratings in the respective countries and CSG was also rated highly by Standard & Poor’s in Japan in multiple primary servicing categories. CSG has a 10-year track record in Asia, with over US$20 billion in assets managed. Tata Capital Limited (TCL) TCL, headquartered in Mumbai, India is a subsidiary of Tata Sons Limited and registered with RBI as non-banking financial company. The company aims to fulfill the diverse needs of its retail and institutional customers directly or through its subsidiaries, through the following areas: consumer finance, advisory services, corporate finance, securities business, investment banking and private equity. Tata Group is the promoter company of various Tata companies, which together constitute more than a century old respected business house in India with strong adherence to values and business ethics.

IFC proposes to take up to 20% stake in the venture and to commit an amount of up to $5 million to be drawn down as per the capital needs of the Company.

The operations of India Collections Management Private Ltd. will be located in Mumbai. Offices in other locations may be opened depending upon its business needs.

The developmental impact of the Project stems from its ability to support financial entities and others to more effectively manage and collect non performing loans. An improved collection system allows for greater bank profitability, improvement in the credit culture, support to the distressed asset sales processes and more systemic efficiency.

1. IFC would be helping make available, high quality asset resolution services to financial institutions in India. While the lack of such services has been a gap in the Indian financial sector, it is most acutely felt in the aftermath of the recent financial crisis. 2. IFC has introduced CSG to Tata Capital in India and its association with CSG is a critical factor in their decision to enter the Indian market. 3. IFC's presence in the Project as a balancing factor is a source of comfort for both Tata Capital and CSG. 4. IFCs presence in the project will add to the credibility of the service offering by the Company amongst its client base.

This project has been classified as a Category F1 project according to IFCs Environmental and Social Review Procedure. Considering the nature of activities supported, the project will be required to:

Develop a Social & Environmental Management System (SEMS) relevant to its business process, that is satisfactory to IFC, that intends to screen and process all investments to identify environmental and social risks, if any, and that intends to ensure acquired portfolios do not have sub projects on the IFC F1 exclusion list or subprojects that do not have substantial unresolved social or environmental issues;
Work with applicable assets being resolved to ensure that the projects are operating in compliance with the IFC exclusion list and the Applicable National Environmental and Social Laws and Regulations, or have an action plan to achieve the same within a reasonable time frame,
Identify responsible, qualified persons to manage and implement the SEMS
Apply the labor standards established by the IFC Performance Standard 2: Labor and Working conditions; and
Submit annual reports to IFC
