Key sponsors and shareholders of TVS are Mr. Nguyen Trung Ha, Chairman and Ms Dinh Thi Hoa, Vice Chairperson. Other board members, including Mr. Tran Vu Hoai and Mr. Phan Thanh Dien. Over 52% of the Company is held by 835 individual shareholders, making TVS a public non-listed company. Mr. Trung Ha and Ms Hoa are successful and well-known entrepreneurs with interests in a range of various business.

The total project cost is $5 million which IFC proposes to invest in the form of an A loan with an option to convert into common shares. Upon conversion, IFC will hold approximately 12% stake in TVS. IFC will provide a comprehensive technical assistance package to TVS, which will focus on risk management and corporate governance.

TVS is headquartered in Hanoi, Vietnam and has 3 offices in Hanoi and Ho Chi Minh City. It is staffed by around 75 professionals.

Like other capital markets in their early stages of development, the practices in Vietnam’s securities industry fall short of international best practice industry standards. Unlike most other players, TVS’ sponsors are determined to build up a best practice organization from the upstart and seek IFC’s assistance in this area. If TVS is successful with its strategy, this project will have a significant demonstration effect for the whole industry to follow and will allow IFC to expand its support to other major players in the industry. The Project will be carried out as a part of a larger Vietnam Capital Markets Program. Consequently, the development impact is expected to be achieved at both industry and institutional levels.

Improved organizational structure: IFC has discussed and will further help TVS to redefine its organizational structure, in line with best industry practices. It will further help the firm to build up its trading/treasury and institutional sales divisions, thought technical assistance and advice at the board level. Critical Investor Role: IFC’s engagement with TVS will help the young company to attract and select a suitable longer-term strategic partner of international standing. Governance, Environmental and Social Standards. At the request of the Company, IFC plans to introduce qualified professionals with relevant expertise to the Board TVS as independent directors. Upon conversion of the loan, IFC will also have a seat on the Board of TVS and will be able to play an even more active role. IFC will also support TVS by introducing its Performance Standards in Environmental and Social practices in investment activities of TVS and its associated companies and help it extend these practices to their clients’ operations.
