Project Description

The proposed investment consists of a 5-year senior loan of up to US$10 million, including mobilization of up to US$5 million to Coris Bank International Tchad (CBI TD or the Bank), the third largest bank in Chad. The facility will contribute to increase access to longer-term financing for micro, small, and medium-sized enterprises (MSME) with at least 15 percent of loan proceeds dedicated to women-owned/led MSMEs (WMSMEs) in Tchad (the Project).

Subject to further approvals, the Project will be processed under IFC’s MSME Finance Platform (the Platform) which is supported by a pooled first loss guarantee provided by the International Development Association Private Sector Window Blended Finance Facility (IDA20 PSW BFF) allocated to the SME Envelope under the Platform.

Associated Advisory Engagement

The Project will be complemented by a comprehensive Advisory Services (AS) program to enhance and strengthen the Bank’s capacity and risk appetite to finance SMEs and the agri-value chain.

Development Impact

The most significant expected Project-level outcome is the increase in access to finance for MSMEs, including WMSMEs in Tchad. This will help address the large MSME finance gap in Chad – valued at US$1.5 billion, equivalent to over 14% of GDP. Beyond the Project-level outcome, IFC anticipates that the Project, together with other projects with CBI subsidiaries in the region, will promote greater market competitiveness in MSME lending across the financial sector via demonstration and replication effects.

IFC’s additionality through this Project is both financial and non-financial. Financial additionality takes the form of (i) medium-term funding, which is not readily available in the market and (ii) resource mobilization through IFC’s role in securing additional third-party funds. Non-financial additionality is based on: (i) strengthening environmental and social (E&S) risk management standards and (ii) sharing IFC’s global knowledge through an advisory services program.

E&S Category Rationale / Risks and Mitigation

The proposed investment consists of a senior loan to support access to finance for micro, small, and medium enterprises (MSMEs), primarily in trade, manufacturing activities, public administration activities, construction, and agriculture, sylviculture, and fishing, which represent key sectors of the Bank’s portfolio in Chad. E&S risks and impacts associated with the supported MSME activities are considered limited and are readily addressed through mitigation measures. The overall portfolio risk is considered medium. Therefore, the project has been categorized as FI-2 in accordance with IFC’s Sustainability Policy. Key E&S risks and impacts for this project are derived from the Bank’s capacity to identify and manage the potential environmental and social risks associated with its lending activities to MSME clients. These E&S risks and impacts associated with the supported activities typically include occupational health and safety, pollution prevention, waste and wastewater management, and labor and working conditions issues, among others, which are readily addressed through mitigation measures. Applicable E&S requirements include the IFC Exclusion List and national E&S laws and regulations in Chad, as well as screening against IFC Performance Standards PS2 and PS6. The Project will not support coal or coal-related activities, non-RSPO palm oil, upstream oil and gas, mining, or higher-risk transactions that may include: (a) involuntary resettlement; (b) risks of adverse impacts on Indigenous Peoples; (c) significant risks to or impacts on the environment, community health and safety, biodiversity, or cultural heritage; (d) retrenchment; or (e) significant occupational health and safety risks. The Bank will also be required to meet Life & Fire Safety requirements and the requirements of IFC’s Performance Standard 2 on Labor and Working Conditions. The Bank's HR policies and practices are generally in line with IFC's Performance Standard 2 on Labor and Working Conditions.

CBI Chad has an Environmental and Social Management System (ESMS) derived from the Coris Group. The ESMS outlines procedures for identifying and assessing E&S risks within the credit review process, including screening, categorization, due diligence, and monitoring, supported by dedicated templates and tools. The Bank has an assigned E&S officer responsible for ESMS oversight and E&S due diligence. However, at the time of IFC appraisal, the ESMS had not yet been formally implemented. As part of this project, CBI Chad will be required to: i) enhance the ESMS by strengthening supply chain risk management for the Bank’s agri-clients; ii) implement the ESMS across its operations in Chad; and iii) strengthen E&S capacity by providing E&S training to relevant staff. The Bank also has a dedicated HR team and established HR policies and manuals generally aligned with IFC PS2. The Bank is required to enhance its Human Resources (HR) policies by adopting a standalone Sexual Exploitation, Abuse, and Harassment (SEAH) policy, along with a grievance mechanism capable of handling SEAH-related complaints.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
