3one4 Capital IFSC - Fund V (Fund V or the Fund) is targeted to be a US$225 million, India focused venture capital (VC) fund. The Fund will focus primarily on seed to series A stage investments in Indian technology-enabled companies across sectors such as AI and Software (including SaaS), Enterprise & Manufacturing Automation, Fintech, Deeptech, and Consumer Internet.

E&S Category Rationale / Risks and Mitigation

The Fund will invest in seed stage companies and follow-on investments, primarily into low-risk sectors such as early-stage technology startups with a focus on fintech, Artificial Intelligence, health-tech, software as a service and Internet of things. The main E&S risks and impacts of this Project derive from activities of Fund’s investee companies and their E&S capacity and systems in place to manage these risks, as well as the fund manager’s capacity to adequately assess E&S risks, require corrective actions where needed, and monitor their implementation. The key E&S risks and impacts associated with the Fund's investment activities are related to occupational health and safety, and labor and working conditions including gender-based violence, among others. Such adverse environmental and/or social risks or impacts will be few, generally site specific, largely reversible, and can be readily addressed through mitigation measures. Therefore, the proposed project has been classified as a Category FI-2 project according to IFC Sustainability Policy. The Fund will not invest in any coal-related activities and higher risk business activities that may include a) involuntary resettlement, b) risk of adverse impacts on indigenous peoples, c) significant risks to or impacts on the environment, community health and safety, biodiversity, cultural heritage, d) risk of retrenchment or e) significant occupational health and safety risks. The applicable Environmental & Social (E&S) requirements for this project will include the Exclusion List, the host country laws and regulations, and the IFC's Performance Standards (when applicable).

3One4 is an existing IFC client. The Fund has an E&S Officer and has developed E&S policies and procedures (ESMS) as part of previous IFC investment. The ESMS includes screening of all potential investee companies against IFC’s Exclusion List, E&S Risk Review and Categorization, E&S Due Diligence, Compliance Monitoring against E&S legal requirements and application of the IFC Performance Standards where required, portfolio monitoring and guidance on review of Follow-on investments. The policy includes an External Communication Mechanism (ECM). The ESMS and the E&S capacity is adequate for the purpose of this IFC investment. The ESMS will be applicable to Fund V as well and will be formally adopted for the fund prior to IFC’s commitment. The Fund will be required to report on its E&S performance to IFC on an annual basis.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
