IFC proposes an equity investment of up to US$20 million and an additional co-investment envelope of up to US$20 million under the delegated authority framework in Trident India Growth Fund I Trust (the Fund), a growth equity fund focused on providing growth capital to companies in India with a key emphasis on: (i) Consumer, (ii) Financial Services, (iii) Manufacturing, (iv) Enterprise Tech, and (v) Healthcare domains.

The Fund is expected to increase access to growth-stage equity and provide operational value add to entrepreneurs in India, including support for companies that are women founded/ co-founded. Beyond the Project, its success is expected to improve market competitiveness across the real, financial, and digital sectors in India by catalyzing innovation through the expansion of investees with scalable and innovative business models, via demonstration, replication, and competition effects.

E&S Category Rationale / Risks and Mitigation

The proposed project entails an equity investment in Trident Growth Partners Fund I Trust (the "Fund"), an India-focused growth equity fund that will focus on investments in Series B to D stage (and follow-on rounds) of Indian companies. While sector agnostic, the Fund has identified some preferred sectors of investment such as i ) Consumer (new age brands, services, omnichannel, supply chain); ii) Financial services (NBFCs, fintech, supply chain financing); iii) Manufacturing (electronic manufacturing services, specialized chemicals, packaging, building materials, automation and EV / auto components); iv) Healthcare (specialty clinics, healthcare delivery/services in tier 2/3 cities, medical devices, and pharma), and (v) Enterprise tech (AI/ML/SaaS). These target segments and subsectors will potentially have limited environmental or social risks or impacts, which will be few in number, generally site-specific, and readily addressable through mitigation measures and good industry practices. The Fund will not invest in any higher-risk activities that may include a) involuntary resettlement, b) risk of adverse impacts on Indigenous Peoples, c) significant risks to or impacts on the environment, community health and safety, biodiversity, cultural heritage, d) significant retrenchment or e) significant occupational health and safety risks. The Fund will also avoid investments in financial service sector companies other than those assessed to be low-medium risk. Hence, the E&S risk of the proposed investment is medium, and the project is categorized as FI-2 according to IFC's Policy on Environmental and Social Sustainability. The applicable performance requirements will be i) the IFC- FI Exclusion List; ii) the relevant national E&S laws and regulations; and iii) the IFC Performance Standards. The Fund will not invest in any coal-related activities.

TGP has an ESG policy that subscribes to IFC Performance Standards. TGP will develop an environmental and social risk management system (ESMS) that will enable it to identify and manage the E&S risks and impacts of its investee companies in compliance with E&S laws and applicable IFC Performance Standards at the investee level, including consideration of supply chain issues where relevant. The ESMS will include procedures for the E&S risk categorization process, due-diligence, inclusion of ESAPs into shareholder agreements, post closure monitoring, and monitoring and management of change of business and occurrence of unplanned events/incidents. ESMS will also include reference to external communications mechanism in line with IFC PS-1 requirements and which will be disclosed on the Fund Manager's website.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
