IFC is considering an equity investment in Ingenix.AI LTD (Ingenix, or the Company) to support the development of an AI-platform for clinical drug development that helps pharmaceutical companies predict clinical trial outcomes, improve efficiency, and bring new treatments to patients faster.

In terms of Project outcomes, the Company is expected to create high-skill jobs in Poland, thereby delivering a key contribution to innovation in Poland. The Project is also expected to help provide access to AI-enabled clinical trial software, including in emerging markets, thereby reducing the barriers to R&D among pharmaceutical companies, and potentially resulting in productivity gains and reducing the overall cost of clinical drug development. In terms of market outcomes, the Project is expected to contribute to increasing the competitiveness of the global market for AI-enabled clinical trial software. The company is expected to increase quality competition in this market, which ultimately is expected to drive competitors to increasingly enter and scale the solutions across new geographies, including emerging markets.

IFC’s financial additionality involves the provision of own account equity as well as resource mobilization, against the background of limited venture capital available in Polan for pre-product, pre-revenue companies operating in regulated sectors in Poland. On the non-financial side, IFC will provide knowledge, capacity building and innovation by providing networks to enable the company to increase its market access and onboard customers in emerging markets. IFC will also offer guidance on corporate governance and social environmental practices, thereby enabling the company to align with best practices.

E&S Category Rationale / Risks and Mitigation

This is a Category C project according to IFC's Environmental and Social Sustainability Policy, as IFC’s environmental and social (E&S) review indicates that the project involves minimal E&S risks. Ingenix develops an advanced generative AI product for clinical drug development, where Ingenix’s product is only used as a productivity software that does not interact with clinical trial subjects. Key E&S risks and issues include: (i) the E&S policies and procedures; (ii) labor and working conditions; and (iii) emergency preparedness and response at the company’s leased office. Ingenix’s operations are managed in compliance with Polish law and regulations. Ingenix will develop and implement an Environmental and Social Management System (ESMS) that includes documented E&S policies and procedures including sexual harassment and gender-based violence policies and worker’s grievance mechanism procedure, worker’s health and safety trainings (e.g., ergonomics). IFC will require Ingenix to implement these policies and procedures consistently and to report any significant E&S incidents. Ingenix will establish its in-house capacity to identify and manage operational E&S risks consistent with IFC requirements and applicable national law.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
