Project Description

The proposed investment is for up to US$25 million, capped at 20% of aggregate capital commitments, along with a discretionary co-investment envelope of up to US$20 million, into ACON Latin America Opportunities Fund VI-A, L.P. (collectively with ACON Latin America Opportunities Fund VI, L.P. (, the Fund).

The Fund will invest in equity and structured capital transactions in mid-market companies across Latin America, with a primary focus on Brazil, the Andean region and Mexico. Investment amounts are generally expected to range from US$30 million to US$100 million per transaction and are expected to be aligned with the following themes: (i) household consumption, (ii) healthcare and wellness, (iii) climate, energy transition and connectivity, (iv) financial services, and (v) exporters. The Fund is managed by ACON LatAm Management, L.L.C., an affiliate of ACON Investments, L.L.C. (ACON).

Development Impact

The Fund is expected to increase access to equity for mid-market companies, primarily in Brazil, the Andean region and Mexico, and, opportunistically, in other Latin American countries (“LAC”). Moreover, the Fund will also support inclusion in the LAC private equity market by committing to allocating capital to women-owned/led companies. Beyond the project, the Fund’s success will also help increase competition in the market, given the decrease in both private equity fundraising and activity in the LAC region, outside Brazil.

E&S Category Rationale / Risks and Mitigation

The Project will support the Fund, focusing on growth sectors in the region. The Fund will finance activities across a range of sectors including retail, entertainment, health and wellness, pharmaceuticals, clinics, telecoms, energy transition, and others, which are considered to entail medium E&S risks. Potential risks associated with its target investments typically include labor and working conditions including GBHV, occupational health and safety (OHS) issues, supply chain, resource efficiency and pollution prevention, and community health and safety. The Project will not support investments in coal-related activities, non-RSPO palm oil, K-12 education, high risk double intermediation, or investments into Higher Risk Transactions, as defined by the IFC. Therefore, the Project has been classified as category FI-2 according to the IFC Sustainability Framework.

The E&S requirements applicable to the project include the screening of all sub-projects against the IFC Exclusion List, applicable national laws and regulations, and the IFC Performance Standards (IFC PS). The Fund will be required to maintain an IFC PS 2 aligned HR program.

The E&S risks and impacts related to the Fund originate from the activities of its sub projects and their ability to manage these risks, as well as from the Fund Manager's capacity to (i) identify E&S risks upfront and screen out transactions involving higher E&S risk activities; (ii) conduct E&S due diligence aligned with the IFC PS; (iii) cascade applicable E&S requirements to sub-projects; and (iv) monitor sub-projects' E&S performance.
The Fund Manager maintains an ESMS that is generally adequate for the anticipated risks of the Project. The ESMS includes: a system to screen sub-projects against current exclusion criteria and standards and assign risk categorization, a process to identify and assess risks and impacts of potential sub-projects, management measures to mitigate identified risks and impacts, processes to monitor sub-projects E&S performance of subprojects, and an external engagement mechanism. The Fund Manager has adequate in-house E&S capacity, and it’s supported by specialized external consultants for E&S due diligence and monitoring.
While the Fund documentation is generally aligned to IFC Performance Standards, as part of the Project, the Fund will be required to address three areas: (i) enhance its ESMS to fully align with IFC's risk management approach, (ii) update its external communication mechanism, and (iii) enhance its HR policies.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
