The Project is considered an extension of the IFC’s 2024 participation in the Company’s bond and does not receive a separate AIMM score. The anticipated development impact is expected to be captured in the assessments of the previous investment, which resulted in an AIMM rating of Good, based on an AIMM score of 52. The projects jointly seek to increase the capacity of mobile networks in order to improve access to quality connectivity for individuals and businesses by leveraging cash freed up by the refinancing operation to increase the capacity and coverage of mobile networks through addition of new towers sites and tenants. Beyond the Company, the projects seek to sustain the competitiveness of the market for mobile connectivity via competition channels by leveling the playing field among retail network operators, especially in countries like Senegal and Malawi where the tower colocation segment is nascent and the mobile market is fairly concentrated.

IFC’s additionality is mainly financial and derives from resource mobilization and the financing structure, consistent with the IFC’s participation in the previous bond issuance in 2024. IFC will anchor the senior bond issuance with a five year maturity and mobilize other investors to participate beyond IFC’s own contribution of up to US$10mn, thereby helping the Company refinance term loans and a convertible bond. While the Company has successfully issued similar bonds in 2020 and 2024, the availability of credit in the Company’s markets in SSA, including across several Fragile and Conflict-Affected Situations (FCS) countries, is still limited.

This is a Category B project according to IFC’s Environmental and Social Sustainability Policy given that the business activities related to the construction and operation of passive telecom towers in the countries being supported by the investment, have limited potential adverse E&S risks and/or impacts that are few in number, generally site-specific, largely reversible, and readily addressed through mitigation measures. Key E&S issues include: (i) implementation effectiveness of HT’s corporate E&S management system (ESMS) across the different OpCos; (ii) fair and safe working conditions especially for Contractors, including grievance mechanism, occupational health and safety (OHS) management and gender-based violence and sexual harassment (GBVSH); (iii) community health and safety risks associated with road traffic accidents, (iv) biodiversity risk management for acquired and new tower sites; and (v) stakeholder engagement at OpCos level.
