Project Description

Distressed Asset Recovery Program (DARP) facility (the Facility) to invest in distressed assets across Bosnia & Herzegovina (BiH), Bulgaria, Croatia, Poland, Romania, and Serbia (the Target Markets). Target distressed assets include retail and SME/corporate non-performing loans (NPLs), real estate owned (REOs) by FIs, and special situation loans (Special Situation Loans) to stressed or distressed companies backed by real estate collateral (collectively, the Target Assets). 100% subsidiaries of EOS Holding GmbH (EOS or the Sponsor) will co-invest alongside IFC and local subsidiaries of the Sponsor (collectively, Local Asset Managers) will service the Target Assets. The Facility will have total capital commitments of €400 million in form of pari-passu equity (up to 50% by IFC; up to 50% by the Sponsor).

Development Impact

The most significant expected project-level outcomes include capital relief for FIs by enabling the disposal of NPLs, allowing capital to be recycled into new lending, and helping NPL debtors normalize their financial obligations. The Project will also provide funding to financially distressed firms, improving their access to finance. Beyond the Project, IFC anticipates that its financing will promote greater competitiveness in the DA market.

E&S Category Rationale / Risks and Mitigation

The project represents IFC’s partnering with EOS, an existing IFC client, to purchase and service the targeted distressed assets including retail and SME/corporate NPLs, Real Estate Owned (REOs) and special situation loans across Bosnia & Herzegovina (BiH), Bulgaria, Croatia, Poland, Romania, and Serbia. The project is categorized as FI-2 in accordance with the 2012 IFC Sustainability Policy. The Facility will be required to screen out any activities that do not meet eligibility criteria, including but not limited to IFC Exclusion List activities, any coal-related activities, and borrowers involved in higher-risk business activities that may include: (i) involuntary resettlement; (ii) risk of adverse impacts on indigenous peoples; (iii) significant risks to or impacts on the environment, community, health and safety, biodiversity or cultural heritage; (iv) retrenchment; or (v) significant occupational health and safety risks (e.g., risk of serious injury or fatality to workers) from the acquired portfolio. Acquisition of blind pools (corporate debt) will be restricted.

The project’s main risks & impacts are associated with the capacity of the Facility to screen out projects which do not meet eligibility criteria, including higher risk transactions, and to maintain relevant procedures to assess and monitor the E&S risks of all target assets, particularly assets acquired from secondary market.

In accordance with IFC's Access to Information Policy, IFC will periodically disclose the names, locations and sectors of sub-projects that have been supported by IFC investments through private equity funds, subject to regulatory constraints and market sensitivities. The Facility’s Environmental and Social Management System (ESMS), approved in February 2023 and updated in August 2024, applies to all Target Assets managed by Local Asset Managers, covering secured and unsecured NPLs and REOs and has been accepted by all Local Asset Managers in relation to the Target Assets. The ESMS has been developed in line with IFC Performance Standards, relevant national laws, and the IFC Exclusion List, including additional criteria such as screening out coal-related and high-risk assets. An Environmental Manager from EOS Investment Advisor provides oversight and signs annual reports, while Environmental Coordinators of Local Asset Managers supervise E&S compliance, conduct staff training, and support reporting. The Local Asset Managers conduct regular training sessions for ESMS implementation, rely on external advisors for E&S assessments in some countries, and use both desktop research and field visits for environmental and social due diligence. NPLs are screened on a risk-based approach using sources like World-Check One and the UN Sanctions List, with exclusions or corrective actions applied as needed. Monitoring procedures involve trained asset managers and field inspectors, with frequent property visits, ongoing compliance tracking, and annual performance reporting to IFC. EOS also maintains external communication mechanisms such as whistleblowing systems and ombudsmen, ensuring confidential handling and recording of reports. For this project, the ESMS is required to be enhanced to extend the scope of the ESMS’ application to cover Special Situation Loans and related E&S risks in those cases.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
