Project Description

The proposed project is an unfunded risk-sharing facility with Standard Chartered Bank (“SCB”) in a portfolio of supply chain finance-related assets for up to US$500 million with IFC participation of up to US$250 million (the “Project”).

The Project falls under the Global Supply Chain Finance (GSCF) Program, launched by the International Finance Corporation (IFC) in December 2022. GSCF supports trade in the emerging markets by providing funded or unfunded risk participation in partner banks’ facilities.

IFC risk participation is up to 50% of eligible assets in the facility (up to $250 million for IFC’s own account) and will mobilize SCB for the balance. This Facility aims to further improve access to Supply Chain Finance (SCF) in Emerging Markets (EM)s, including providing pre-shipment finance, bringing working capital benefits to local suppliers.

E&S Category Rationale / Risks and Mitigation

The project will support short-term financing with a maximum tenor of 18 months to SCB corporate clients (Buyers) in agribusiness, manufacturing, and other sectors globally. Potential environmental and social risks (E&S) and issues associated with supply chain finance activities are typically associated with production of goods and commodities, the adequacy of a functioning supply chain management system and management of E&S -related reputational risks. The Project will not support coal related, oil and gas, or Buyers involved in higher risk activities that may include: a) involuntary resettlement, b) risk of adverse impacts on indigenous peoples, or c) significant risks to or impacts on the environment, community health and safety, biodiversity, cultural heritage or d) significant occupational health and safety risks. Therefore, the E&S risks are expected to be medium and, as such, the project is categorized as FI-2 according to IFC's Sustainability Policy

SCB’s Environmental and Social Risk Management (ESRM) Framework guides how the Bank identifies, assesses and manages E&S risks across clients and transactions. The framework defines the principles, processes and governance for integrating E&S considerations into lending and investment decisions and is supported by sector-specific Position Statements on areas such as agribusiness, extractives, and power generation and cross-sector Position Statements on areas such as climate change that set out E&S specific criteria and for overseeing risk appetite metrics and escalations associated with E&S risks, together with a list of activities the Bank will not finance.

Front-line business teams carry out E&S due diligence with support from the ESRM team on more complex client and transaction level E&S risk cases. Transactions are subject to deeper review depending on sector risk, including requirements for clients to comply with local regulations and to put in place action plans where gaps are found. Roles and responsibilities for E&S risk management are shared between the client-facing relationship managers (RMs), and the ESRM team, which acts as a subject-matter expert supporting, advising, and challenging RMs on E&S issues, maintaining the overall framework, and leading regular reviews of the Bank’s sector-specific Position Statements. Additionally, the ESG & Reputational Risk (“ESGR Risk”) team within the risk function is responsible for setting the overall management approach for ESGR risks and providing oversight and challenge of the ESRM Framework. Credit officers ensure transactions have a valid and appropriately completed Client ESG & Reputational Risk Assessment or Transaction Environmental and Social Risk Assessment.

For the investment under consideration, SCB’s due diligence process assesses Buyers’ procurement practices and their capacity to manage E&S risks in their supply chains. Buyers eligible for supply chain financing are typically existing SCB clients. As part of the project, SCB will be required to review Buyers’ procurement practices and capacity to manage supply chains risk as it relates to screening suppliers against the IFC Exclusion List and applicable E&S National Laws, while screening for higher risk activities. IFC will periodically review and screen selected Buyers and Suppliers on a sample basis for E&S and reputational risks and verify implementation of SCB’s ESMS. IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
