Project Description

The proposed investment comprises a US$10 million equity investment in the Caribbean Community Resilience Fund Equity Fund (CCRF Equity Fund or the CCE), a regional impact investing fund with a target size of US$60 million (scalable to US$100 million). The fund will invest catalytic development and scale-up capital in the Caribbean region in key climate resilience sectors in Renewable Energy, Electric Grid/Vehicle, Energy Efficiency, Blue Economy and Climate Smart Agriculture, across multiple countries of the Caribbean Community (CARICOM) i.e. Antigua & Barbuda, Barbados, Belize, Dominica, Dominican Republic, Grenada, Guyana, Jamaica, St. Kitts & Nevis, St. Vincent and the Grenadines, Bahamas, St. Lucia, Suriname, and Trinidad & Tobago (The Project). The Project is expected to be supported by the IFC Frontier Opportunities Fund (FOF) as described in the Blended Finance Section.

The CCE is a sub-fund of the CCRF, a new 10-year closed-end impact investment fund launched by the Fund Manager, Sygnus Capital Limited, and the anchor investor, the CARICOM Development Fund (CDF) in January 2024.

Development Impact

The project will provide access to equity for mid-market companies in the Caribbean by supporting a fund that aims to scale companies targeting sustainability outcomes. In addition, the project is expected to enhance resilience in the Caribbean region by enabling critical investments across key infrastructure sectors and demonstrating alternative low-carbon technologies that diversify the regional energy mix, given that electricity generation in the Caribbean remains heavily reliant on fossil fuels.

IFC's additionality will be provided through its own account equity, as IFC’s commitment will help the Fund reach its target size. IFC support at the second close will be needed to mobilize capital from private investors at the third close, enabling the Fund to upsize its target size. Further, IFC will play a key role in standard-setting by improving the fund's environmental and social risk management system and by advising on gender practices, complementing the support provided by other DFIs.

E&S Category Rationale / Risks and Mitigation

The proposed investment consists of an investment to Sygnus Capital to support the CCRF Equity Fund in the Caribbean Region. Eligible sub-projects will target renewable energy, transport, blue economy, and climate smart agriculture projects. The main E&S risks and impacts related to the Project derive from the Fund Manager's capacity to assess and manage E&S risks of sub-projects in line with the E&S requirements. The E&S risks associated with the supported portfolios are typically associated with labor and working conditions, supply chain risks, occupational health and safety, pollution prevention and atmospheric emissions, waste and wastewater management, and biodiversity amongst others that are readily mitigated. The Project has therefore been categorized as FI-2 in accordance with IFC’s Sustainability Policy. The Project will not support coal related activities, non-RSPO or non-Rain Forested Alliance certified palm oil, non-ASC or non-MSC certified fisheries and aquaculture K-12 education sub-projects, and Category A transactions that may include business activities with potential significant adverse environmental or social risks and/or impacts that are diverse, irreversible, or unprecedented.

Sygnus Capital has a dedicated HR team and established HR policies and manuals. As part of this Project, the Fund Manager will strengthen its HR policies in line with Performance Standard 2 (PS 2): Labor and Working Conditions.

The applicable requirements for this Project are the IFC Exclusion List, applicable national laws in host countries and IFC Performance Standards. The Fund will also disclose sub-projects as per IFC’s disclosure requirements and provide the first three E&S sub-project assessments for review, and an annual E&S performance report to IFC.

Sygnus Capital has implemented an ESMS for the CCRF Equity Fund to assess sub-projects against E&S risks following the IFC Performance Standards. The E&S review process includes an initial exclusion list screening, assessing sub-clients against local E&S regulations, preliminary E&S risk screening, E&S categorization, and E&S due diligence oversee by the E&S team with the support of third-party consultants. The investment review process includes considerations of E&S risks and E&S clauses in legal agreement. The ESMS procedure includes annual monitoring of the sub-projects.

As part of this Project, the Fund will further strength its ESMS in line with the E&S requirements of the Equity Fund including updating its exclusion list, developing additional tools to assess sub-projects from multiple sectors, incorporate E&S requirements in legal agreements, and enhance the monitoring process. The Fund will hire an experienced and qualified E&S specialist to oversee the implementation of the ESMS. Until this position is hired, the fund will contract a qualified and experienced E&S consultant to perform the role of the ESMS officer.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
