Project Description

The proposed IFC investment is an equity investment of S$26 million (US$20 million equivalent) as a cornerstone investor in the Initial Public Offering (“IPO”) of Foundation Healthcare Holdings Limited (“FHH” or the “Company”). The Company will use the IFC proceeds to support its expansion in Malaysia (the “Project”).

Development Impact

The Project's most significant expected project level outcome is increased access to care for local communities via the opening of new day surgery centers in Malaysia. At the market level, the investment is expected to contribute to increasing the competitiveness of Malaysia's healthcare sector. The Project is expected to deepen the development of the local healthcare system, increasing the adoption of multispecialty ambulatory care centers and improving access to surgical care.

IFC's additionality in the proposed project is both financial and non-financial. Financial additionality is provided through IFC's own-account equity and its role in mobilizing private capital by supporting long-term investments in healthcare infrastructure. Through supporting the Company's IPO, IFC will help to bolster investor confidence and catalyze private capital. Non-financial additionality is provided through knowledge, innovation, and capacity building and standard setting. IFC is expected to leverage its global experience to facilitate the sharing of best practices and to provide guidance as the Company scales up its operations.

E&S Category Rationale / Risks and Mitigation

The investment is a Category B project. Based on IFC’s appraisal, the proposed project will have limited adverse E&S impacts that are few, site-specific, largely reversible and expected to be addressed through existing mitigation measures and good international industry practices (GIIP).

Key Environmental and Social (E&S) risks and issues include adequacy of the following systems and measures: i) the company's systems for managing and monitoring E&S risks and impacts from its operations and expansion projects; (ii) consistent management of labor and working conditions and occupational health and safety (OHS) policies and practices, prevention of potential Sexual Exploitation, Abuse and Harassment (SEAH) and Gender-Based Violence (GBV), including against children; (iii) management of Life and Fire Safety (L&FS), accessibility, and emergency preparedness and response; iv) contractor management including protection of potential migrant construction workers;(v) monitoring and management of hazardous materials, hazardous and non-hazardous waste; and (vi) the company's stakeholder engagement activities related to E&S aspects.
