Johnvents was founded by Mr. John Alamu, who remains the principal sponsor and holds an effective ownership interest of approximately 95% through direct and indirect shareholdings. The proposed borrowers comprise Johnvents Holdco (Nigeria) Limited and core operating subsidiaries in Nigeria, together with Johnvents International SARL Cote d’Ivoire. Johnvents International Mauritius Limited will provide a parent-company guarantee.

 The IFC-supported project cost is US$72 million, comprising US$53.6 million of capital expenditure and US$18.4 million of working capital. IFC’s proposed financing is a senior loan package of up to US$72 million, including a nominal IFC A Loan of up to US$50 million, of which US$25 million is expected to be covered by credit insurance, and up to US$22 million to be mobilized through a B Loan. The proposed tenor is eight years, including a two-year grace period for principal repayment.

 The project will be implemented in Nigeria and Cote d’Ivoire. The sesame processing facility and logistics investments will be located in Nigeria, including a proposed sesame facility along the Sagamu-Ibadan Expressway. The cashew processing facility will be located in Cote d’Ivoire.

 IFC assesses the governance risk as Low/Moderate. Governance has improved through stronger board oversight, formal policies, enhanced risk management and internal controls, group-wide ERP implementation, external audits, and an independent whistleblowing channel. The key residual risk is concentrated founder ownership and decision-making, mitigated by professional management, board committees, and the HoldCo restructuring to strengthen board independence and oversight.
