The Strategy is expected to pioneer commercially viable models for carbon-sequestration through conservation and restoration of degraded land in LAC. Beyond the project, the Strategy’s success will demonstrate that private equity (PE) can deliver financial returns while implementing large-scale carbon removal through Nature-based Solutions (NbS). This will in turn de-risk the market for future entrants and encourage other large managers to launch dedicated NbS funds in Emerging Markets.

As part of IFC’s financial additionality, IFC’s investment will support the Strategy in achieving its target size of US$1 billion and mobilize additional capital by providing comfort to potential (as well as existing) investors that IFC's Performance Standards will be integrated into the Strategy's operations. For its non-financial additionality, IFC will leverage its expertise in the regions where the Strategy operates to support the region’s biodiversity outcomes.

The Strategy will invest in the acquisition of degraded land for forest protection, restoration and commercial tree planting. Although sub-projects are expected to be nature-positive, Environmental and Social (E&S) risks are potentially high and mostly associated with land acquisition, biodiversity, labor and potential impacts on indigenous peoples and local communities. Contextual risks relevant to sub-projects include land tenure and livelihood related impacts to local communities. As such the Project has been categorized as FI-1. To mitigate such risks, the Strategy will be required to screen and manage sub-projects against the IFC Exclusion List, applicable host country E&S laws and the Performance Standards (PS).

IFC will periodically disclose the names, locations and sectors for Category A sub-projects that have been supported by IFC investments through financial intermediaries, subject to regulatory constraints and market sensitivities. The sub-project(s) listed below reflect(s) the status of the portfolio as of July 1, 2020.

Any qualifying sub-project(s) will be disclosed during the annual reporting cycle established with the client.

The E&S risks and impacts associated with the Project stem primarily from the activities of the Strategy’s investee sub-projects and their capacity to manage such risks, as well as from the Manager’s ability to: (i) identify E&S risks upfront and screen for higher-risk transactions1, while applying the PSs to all supported transactions; (ii) design and agree on appropriate corrective actions; and (iii) monitor their effective implementation. Category A sub-projects will not be eligible and mechanisms for IFC monitoring are to be agreed prior to first disbursement.

TIG is an existing client with satisfactory performance. Its sustainability team includes a Chief Sustainability Officer, Head of Impact Finance, Director of Policy and External Relations, Senior Portfolio Manager, Sustainability Director, Analysts, and External Advisors. To manage the E&S risks and impacts associated with the Project, the Strategy will rely on TIG’s corporate-level policies and on the Environmental and Social Management System (ESMS) being specifically developed for the Project, which will incorporate risk assessment, control, and oversight processes commensurate with the level of E&S risk and exposure across the Strategy’s investment pipeline.

As part of its ESMS, the Project will establish a system to verify that sub-projects: (i) do not involve conversion of Natural or Critical Habitats; (iii) do not cause significant adverse impacts on highly threatened species; (iv) are certified under sustainable management practices or independently verified against recognized standards; (v) are not located within UNESCO Natural or Mixed World Heritage Sites (WHS) and/or Alliance for Zero Extinction (AZE) sites, unless such sub-projects are explicitly designed for conservation purposes and the relevant managing authorities and/or reference entities have provided formal consent; and (vi) are not located in areas that carry legacy land risks, unless such risks are largely reversible or can be readily addressed through mitigation measures. The Project will develop a Land Acquisition Framework, consistent with PS5, outlining general principles that will be followed in case of physical and economic displacement associated with land acquisition.

The Strategy will engage qualified external consultants to carry out E&S due diligence, prepare action plans, and define monitoring provisions to be incorporated into the legal documentation of all sub-projects. Each sub-project will be subject to annual monitoring by external consultants.

In addition, the Strategy will also develop a Stakeholder Engagement Framework and an External Grievance Mechanism specifically tailored for this Strategy and aligned with PS1 requirements. This mechanism will cover workers, communities, and other stakeholders involved in the Project’s daily activities. As part of the Project, TIG will be required to: (i) retain biodiversity and social consultants with relevant and proven experience in the IFC PSs; (ii) enhance the ESMS to include a robust and adaptable framework with fit-for-purpose protocols and procedures; (iii) implement an E&S Panel to oversee ESMS implementation; (iv) provide capacity-building and training for staff; (v) submit the first three Environmental and Social Due Diligence (ESDD) reports prior to investment; and (vi) submit periodic E&S performance reports to IFC.
