Development Impact

The Project is expected to deliver substantial environmental and social benefits by supporting Bradesco’s growth in its sustainable finance portfolio. Specifically, the financing will help the Bank fund its commitment under the Brazilian government's Ecoinvest Program which is expected to include but not limited to renewable energy generation, sustainable transportation and blue assets.

Financial additionality is provided through the structuring of a long-term facility, offering an amount, tenors and repayment terms not commonly available in the Brazilian market, and potentially mobilizing international capital to increase the loan amount. Non-financial additionality includes supporting Bradesco in identifying and financing eligible climate assets under the Ecoinvest Program, strengthening the bank’s capacity for sustainable lending, and promoting best-in-class environmental and social practices in line with IFC standards. IFC’s participation also helps validate the strategy, catalyze private sector involvement, and foster market creation for sustainable finance in Brazil.

E&S Category Rationale / Risks and Mitigation

The proposed project consists of an up to US$275 million senior loan to Banco Bradesco S.A. (the “Bank” or “Bradesco”). The proposed investment aims to support the Bank’s lending program to sustainable projects (the “Project”), with a focus on assets eligible under the Brazilian Ecoinvest program (“Ecoinvest Program”).

The potential E&S risks and impacts associated with the use of proceeds are expected to be medium in nature, since the proposed portfolio is expected to be comprised of sub-projects that have limited, generally site specific, largely reversible, and readily managed through standard mitigation measures, the project is categorized as FI-2 in accordance with IFC’s Sustainability Framework. IFC’s applicable E&S requirements for this project will be the IFC Exclusion List, relevant E&S laws and regulations, as well as screening out higher-risk sub-projects, such as (i) involuntary resettlement; (ii) risk of adverse impacts on indigenous peoples; (iii) significant risks to or impacts on the environment, community, health and safety, biodiversity or cultural heritage; (iv) retrenchment; or (v) significant occupational health and safety risks (e.g., risk of serious injury or fatality to workers), as per the IFC Guidance Note on Financial Intermediaries (2023). Screening in accordance with the IFC Performance Standards will also be required, as applicable, in line with the Bank’s ESMS.

Bradesco has an E&S risk management framework, supported by multiple forums and led by a dedicated E&S risk team under the oversight of the Chief Risk Officer. E&S risk management is driven by the analysis of inherent sector risks and client credit exposure, resulting in E&S ratings that are integrated into credit assessments. All credit decisions requiring E&S input adhere to the Bank’s risk appetite statement, including restrictive and prohibitive measures for specific sectors or activities. Bradesco’s scope for E&S risk evaluation encompasses credit, project finance, guarantees, suppliers, and investments, utilizing in-depth questionnaires and sector-specific checklists to assess impacts on biodiversity, communities, human rights, climate change, occupational health and safety, and legal compliance. This process allows Bradesco to identify and exclude higher-risk projects when necessary, as required under the terms of the facility. The Bank also maintains dedicated communication channels to engage internal and external stakeholders.

As part of this project, Bradesco will be required to continue implementing its established E&S risk screening processes to identify and manage risks related to the supported asset classes. The Bank will remain committed to applying its labor standards, which are generally consistent with the requirements of IFC Performance Standard 2 (Labor and Working Conditions), including policies and procedures to address sexual exploitation, abuse, and harassment (SEAH), supported by a grievance mechanism. Bradesco will provide periodic reports to IFC and will be required to seek consent for the annual disclosure of sub-projects valued at US$20 million equivalent or more, including their names and locations, subject to applicable laws.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
