Project Description

The proposed investment is a Risk Participation Facility (RPF or the Facility) of up to US$500 million equivalent, to be equally split between IFC with own account participation of up to US$250 million equivalent (IFC Participation Amount), and Natixis and its affiliates (Natixis CIB, or the Bank) retaining the balance on a portfolio of loans financing for infrastructure companies and assets within a pre-approved selection criteria in Asia, Oceania, Latin America and Europe (the Reference Portfolio) with the capital preserved from the Facility aimed to be redeployed to finance energy transition and digital infrastructure loans in emerging markets (EMs) globally and mostly in Asia (the Redeployment Portfolio) (the Project).

The guarantee under the RPF will be structured to comply with the directive for guarantees under the EU capital regulation requirements (EU CRR).

Development Impact

The most significant, expected project-level outcome is increased access to finance for infrastructure projects, specifically for climate finance projects in EMs. By enabling Natixis CIB to redeploy capital into energy transition and digital infrastructure, the project addresses significant infrastructure financing gaps, supports renewable energy adoption, and contributes to greenhouse gas emissions reduction. It also fosters market competitiveness by demonstrating innovative risk mitigation and financing models, encouraging replication and private sector participation in infrastructure finance across emerging Asia. Beyond the project outcomes, IFC anticipates that its financing will promote greater market competitiveness via demonstration and replication channels.

IFC's additionality in the Project is both financial and non-financial. Financial additionality includes financing structure stemming from IFC's role in providing a risk participation facility with IFC Participation Amount of up to US$250 million equivalent over eight years on a portfolio of infrastructure-related loans within a pre-approved selection criteria, which reduces Natixis CIB's risk-weighted assets, frees regulatory capital, and enables additional long-term lending. Non-financial additionality includes knowledge, innovation and capacity building to provide Natixis CIB with expertise in structuring risk mitigation products leveraging IFC’s global/regional industry knowledge and network.

E&S Category Rationale / Risks and Mitigation

The project involves an unfunded guarantee facility with Natixis CIB covering an existing sub-portfolio of project finance, structured finance and corporate loans for infrastructure assets in Asia, Oceania, Latin America and Europe, to be selected following a set of pre-agreed eligibility criteria. The guarantee facility will be structured to comply with the directive for guarantees under the EU capital regulations requirements (EU CRR). Inherent E&S risks and potential impacts associated with various types of infrastructure projects can be high; therefore, the project has been categorized as FI-1 according to IFC's Sustainability Policy.

The project will not support coal-related activities and any activities that involve (a) involuntary resettlement, (b) risk of adverse impacts on Indigenous Peoples, (c) significant risks to or impacts on the environment, community health and safety, biodiversity, cultural heritage, (d) risk of retrenchment, or (e) significant occupational health and safety risks. Applicable E&S performance requirements include the IFC Exclusion List, relevant national E&S laws and the Performance Standards (where applicable).

As a signatory to the Equator Principles (EP), Natixis CIB has an E&S management system integrated into its credit processes for project financing, including assessment and monitoring against the requirements of the Performance Standards. It has also adopted several E&S policies and E&S screening and review procedures for other financing activities beyond the EP scope. Designated E&S roles and responsibilities are appointed. As part of this project, the Bank will continue to apply its existing EP compliant E&S management system and other E&S practices to screen and assess the E&S risks of the sub-portfolio. In addition, Natixis CIB will apply the agreed E&S monitoring program for the sub-portfolio to ensure ongoing compliance with the E&S requirements. Natixis CIB’s internal labor practices have been found to be in line with Performance Standard 2 requirements on labor and working conditions and will be required to continue adhering to this standard.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
