Vision One (V1, Brasil Olhos Participações or the Company), established in 2020, is the leading network of eye care hospitals and clinics in Brazil, with revenues over R$1 billion. The Company now operates 66 eye care hospitals and clinics in 13 states and the Federal District, having added more than 50 locations over the past four years, and with more than 6,000 employees and physicians.

In its facilities, Vision One provides eye care services such as detection and treatment of cataract, glaucoma, myopia, corneal and retinal conditions, among others; surgeries are performed in its eye care hospitals, including advanced treatments such as intraocular lenses, vitrectomy, and refractive surgery. The Company is also in the initial phase of installing its own optical stores, dedicated to the sale of eyewear and glasses.

The proposed transaction involves an investment of US$50 million in preferred convertible shares. The IFC investment will be mainly used to expand Vision One's hospital network through M&A transactions and to develop new revenue streams, including (i) affordable eye care services to reach a broader patient base through a low-cost network of eye care clinics and a special program targeting the uninsured population, providing access to Vision One's services at affordable costs, and (ii) the opening of eyewear retail stores (the Project).

The Company's expansion strategy regarding hospitals and clinics is based on the acquisition of existing eye care facilities, which are subject to a prior due diligence process that includes E&S aspects, followed by refurbishment or renovation to meet the Company's standards. Regarding the opening of new optical stores, these are located close to hospitals, malls, or similar facilities. Vision One's administrative headquarters is located in Sao Paulo.
