The Fund Manager is indirectly owned by DigitalBridge Group, Inc (“DigitalBridge”) with a 68.5 percent shareholding interest and Wafra, Inc with a 31.5 percent shareholding. DigitalBridge is a publicly listed entity with investments in DI, real estate, among others.

 The proposed IFC investment consists of an up to US$100 million equity commitment to be advised by the Fund Manager.

 Scala and Highline both currently operate primarily in Brazil. Edgepoint currently operates primarily in Indonesia and Malaysia. Additional investee companies to be considered as part of the SideCar or another managed co-investment will be located in emerging markets.

 This is a Category B project according to IFC’s Policy on Environmental and Social Sustainability as the potential adverse E&S risks and/or impacts, which are generally site-specific, are largely reversible and can readily be addressed thorough mitigation measures. Based on the available project information, key project related E&S issues and risks include the company’s capacity and systems to review and manage E&S performance of three company’s managed co-investments, the operations of their assets, new projects and acquisitions, and to screen and mitigate E&S risks and impact of the potential investments of the blind pool fund (if it materializes), including: environmental and social management systems (ESMS) of the investee assets, management of labor relations and working conditions, occupational health and safety, consistency and replicability in the site acquisition process to ensure that leases are entered into freely and there are no impacts to untitled land-users, monitoring and management of environmental emissions, stakeholder engagement and community grievance mechanism, contractor management across all asset operations.
