Currently, total shares are held as follows: (i) 51.1% free float; (ii) 23.5% is owned by the Faccini Castanho Family; (iii) 10.7% belongs to Marcelo Battistella Bueno, the CEO; (iv) 13.5% belongs the others 8 shareholders that have a stake smaller than 5% each; and (v) 1.2% are Treasury Shares. After the completion of the acquisition, the current owner of AGES will receive a 2.1% stake in Anima.

IFC's proposed investment in this transaction is an A/B loan of up to BRL 450 million equivalent in USD (USD 110 million) to finance the recently acquired AGES University Centre, a 5,6K top quality university group in the states of Bahia and Sergipe (Northeast of Brazil), with a relevant positioning in medical courses as well as other expansion plans.

Anima’s expansion plans are mainly focused on (i) the Sergipe and Bahia states, where Anima is starting to operate as a result of the project and the acquisition of AGES, and (ii) the other states where they currently already have a presence.

IFC’s assessment of Anima’s governance risks to development impacts is low. The Company is an existing IFC client and has been listed under the “Novo Mercado” segment of São Paulo Stock Exchange (“B3”) since 2013, a listing segment which requires companies to comply with highly differentiated standards in corporate governance. The Company has strengthened its commitment to best corporate governance practices over the last years implementing a reshuffling of its corporate governance, professionalization of the Board of directors and creation of several committees: (i) the people’s committee, (ii) the digital transformation committee, (iii) the academic committee, (iv) the finance and M&A committee, (v) the audit and risk committee. The overall objective was to align the governance structure to the growth strategy of the group.
