The Company is wholly-owned by Zorlu Osmangazi Enerji Sanayi ve Ticaret A.S. (“Zorlu Osmangazi”), a holding company which in turn is wholly-owned by Zorlu Enerji Elektrik Uretimi A.S. (“Zorlu Enerji”).

Zorlu Enerji is one of the largest power companies in Turkey, with interests in power generation, trading, distribution and supply to end-consumers. It owns and operates approximately 1,100 MW of power generation across different technologies in Turkey, Israel and Pakistan. In 2016, Zorlu Enerji established Zorlu Osmangazi to acquire the Company and Osmagazi Elektrik Perakende Satis A.S. (“OEPSAS”), the incumbent electricity supplier operating in the Company’s distribution region.

Zorlu Enerji is listed on the Istanbul Stock Exchange and is majority owned by Zorlu Holding A.S. 

Zorlu Holding is one of the largest conglomerates in Turkey, with business segments diversified across energy, electronics and white goods, textiles, real estate and mining.                                                 

 The Company has a FY2017-2020 capital expenditure program of approximately US$350 million equivalent.

The proposed IFC investment is an A Loan for up to US$100 million equivalent in Turkish Lira to support the Company’s capital expenditure program.                                                  

 The Company carries out electricity distribution services in five provinces in inner western Anatolia, Turkey: Afyon, Bilecik, Eskisehir, Kütahya and Usak (“OEDAS Region”).                                                  

This is a Category B project according to IFC’s Policy on Environmental and Social Sustainability. The environmental and social risks and impacts associated with this project are limited, site-specific and can be readily addressed through generally accepted mitigation measures as described in this document and the attached Environmental and Social Action Plan (ESAP).

Zorlu Osmangazi started its operations in OEDAS and OEPSAS in February 2017. At the time of project review, E&S management system and relevant documentation were under preparation. Therefore, key Environment and Social (E&S) issues associated with this project as identified during IFC’s review are related to the company’s corporate organizational capacity and competence and implementation of an Environmental and Social Management Systems (ESMS) to manage E&S risks in its current and future operations. Associated risks include: environmental and social management system, procedures and technical capacity for its effective implementation and continuous monitoring/reporting; hazardous and non-hazardous waste management; air emissions; greenhouse gas (GHG) emissions; wastewater and storm water management; occupational health and safety (OHS) as well as labor and working conditions of employees; including contractor employees; community health and safety; and stakeholder engagement.
