ATM Saglik Kayseri Yatirim ve İsletme Anonim Sirketi, a Special Purpose Vehicle (SPV or the Project Company) was incorporated in 2011 under the laws of Turkey for the purpose of carrying out the construction works and the provision of products and services for the Project.

The Project Company is a joint venture between entities of YDA İnşaat Sanayi ve Ticaret A.Ş. (YDA Group) of Turkey, collectively holding 75% of shares, and INSO Sistemi Per Le Infrastrutture Sociali S.p.A. (INSO), Italy, holding 25% of shares. YDA Group & INSO through the Project Company, will jointly deliver the Kayseri Integrated Health Campus project, leveraging their extensive technical knowledge and management expertise.

YDA Group: Founded in 1975, with the first group company Aksa Insaat, YDA Group is a prominent construction company with a 35 year history, through subsidiaries in Turkey and abroad (Kazakhstan, Ukraine, Abu Dhabi, Saudi Arabia and Moldova). YDA Group has completed projects with total size exceeding US$5.6 billion, with strong experience in design & build turnkey projects, build operate & transfer projects, airports and high-tech smart buildings, industrial plants, infrastructural projects, high-rise buildings, business centers, shopping malls, hotels, hospitals and school complexes, residential projects, real estate and property development projects.

INSO is a an Italian general contractor carrying out design and construction projects, as well as supplying technologies for the Health, Industry and Tertiary Sector. During over thirty years of activity, INSO has become a leader in the management of complex projects thanks to its capacity for designing, building and services. Until recently INSO was part of Gruppo Consorzio Etruria and in 2012 it was acquired by Società Italiana per Condotte d''Acqua S.p.A, one of the leading Italian construction groups.

Total project cost is estimated at EUR 420 million. The proposed IFC investment is a EUR 35 million A loan for IFC’s own account.

The project is located in Kayseri, a second-tier city in mid Anatolia region. The project site is on the outskirts of the city.

- Improved hospital infrastructure, efficiency and quality of public healthcare services in Kayseri, a 2nd tier city underserved by both public and private health service providers
- Successful implementation and financing of the project will lead the way for other projects in the heatlh PPP program, also located in Turkish second tier cities
- Demonstration effect in the region, where private-public partnerships in healthcare and other social services are just starting to emerge
- Better health outcomes through use of modern clinical and diagnostic services, reduced waiting times for patients

- Provide long-term financing
- Mobilization: facilitate parallel loans to the Project Company from commercial banks
- Share expertise in healthcare investments, PPP transaction structuring and general project finance expertise improving bankability of the project

This is a Category B investment according to IFC''s Environmental & Social Review Procedure as the appraisal concluded that project impacts will be limited, site-specific and can be addressed by adhering to generally recognized performance standards, guidelines or design criteria. Key environmental, health & safety and social (EHS) issues include EHS practices during construction/renovation; life and fire safety; emergency preparedness and response; control of air emissions; waste management; energy and water conservation; occupational health and safety and labor and working conditions.
