Project Description

The proposed investment is a 10-year secured corporate loan facility of up to US$ 12 million to Solengy Haiti S.A. (“Solengy” or the “Borrower”, or the “Company”). The financing package consists of (i) an up to US$ 3 million senior IFC A loan; (ii) an up to US$[3] million senior parallel loans; and (iii) an additional US$[6] million subordinated loan to de-risk the investment for senior lenders including IFC. Solengy is a leading distributed energy solution provider, offering turnkey and custom energy systems between 1KWp to 600KWp to residentials, commercial and industrial customers. The loan facility will be used to fund the deployment of additional solar and battery energy storage systems (of up to 5 MWp and 11MWh) through the Company’s lease-to-own program to its customers.

The company leases a building for its operations consisting of a workshop for equipment assembly and a warehouse (10,000 sqf), and offices (2,000 sqf), located at the Airport Industrial Park in Port-au-Prince. Solengy business model focus on leasing energy solutions, encompassing photovoltaic system and batteries. Solengy procures, installs, and maintains equipment during the contract tenor and provides extended warranties including insurance. Ownership of the equipment is transferred to the customers at the end of the leasing period. Solengy has installed 690 systems in 84 projects over the past 13 years across Haiti.

Overview of IFC's Scope of Review

IFC’s environmental and social (E&S) review of this proposed investment was done virtually due to travel restrictions resulting from the security situation in Haiti. The appraisal was done through interviews with Solengy’ s management and operational functions, and the review of environmental, health and safety (EHS) and social documentation, including (but not limited to): (i) Solengy’s E&S policies, procedures and management system; (ii) risk assessment of environmental and occupational health and safety (OHS) aspects, including electrical safety; (iii) management of E&S risks on its supply chain; (iv) human resources (HR) policies and procedures, including terms of employment and working conditions; (v) contractor management; (vi) management of solid, liquid and hazardous wastes; (vii) community engagement and grievance mechanism; (viii) emergency response plans, and (ix) private security arrangements

E & S Project Categorization and Applicable Standard

While all Performance Standards are applicable to this investment, IFC’s environmental and social due diligence indicates that the investment will have impacts which must be managed in a manner consistent with the following Performance Standards

PS 1 - Assessment and Management of Environmental and Social Risks and Impacts
PS 2 - Labor and Working Conditions
PS 3 - Resource Efficiency and Pollution Prevention
PS 4 - Community Health, Safety and Security

This is a Category B project according to IFC’s 2012 Policy on Environmental and Social Sustainability. The E&S risks and impacts are limited, site-specific, and can be easily avoided or mitigated by adhering to generally recognized Good International Industry Practices (GIIPs) and design criteria. Key E&S issues of the project include: (i) implementation of the company’s corporate E&S management system (ESMS) and its organization capacity, in line with IFC PS requirements; (ii) fair, safe and health labor and working conditions, including occupational health and safety (OHS) and contractor’s management; (iii) waste and wastewater management (iv) stakeholder engagement and external grievance mechanism; (v) management private security

Environmental and Social Mitigation Measures

Stakeholder Engagement

Potential impacts on nearby communities (industrial park, neighborhoods where Solengy installs and service PV systems) due to Solengy activities arise from warehouse activities and vehicle transportation. As part of ESAP #10, the company shall formulate a documented community grievance mechanism in line with PS 1 requirements for addressing community. Community concerns and grievances about the company’s E&S performance including gender-based violence & harassment aspects shall be resolved using such mechanism.

8	Solengy will integrate climate resilience measures into their OHS policies to protect workers from rising temperatures, cyclones, and extreme weather events. This includes updating policies to address specific risks such as heat-related illnesses and storm hazards, assigning clear responsibilities for implementing safety protocols, conducting regular risk assessments, and ensuring compliance with local regulations. OHS policies will emphasize continuous training and awareness programs to empower workers with the knowledge and skills needed to maintain their health and safety in changing environmental conditions. To address temperatures, the client will provide hydration stations with cool, potable water and shaded rest areas placed across the site to ensure workers remain hydrated and have areas to rest away from direct sun exposure. Comprehensive heat safety protocols and regular training sessions will also be implemented to educate workers on recognizing and managing heat stress effectively.	04/30/2025

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
