Project Description

IFC is considering providing US$ 400 million (including an A loan of US$ 150mn and B/Parallel loans of US$ 250mn) to the Pakistan Telecommunication Company (“PTCL” or “the Company”) to finance its planned acquisition of Telenor Pakistan (TP) (“the Project”), the second largest mobile network operator (“MNO”) in Pakistan. The Company is controlled and managed by Emirates Telecommunications Group Company (“Etisalat”), a state-owned leading international telecom operator headquartered in UAE and a strategic IFC client. TP is a wholly owned subsidiary of Telenor Pakistan B.V., a major Norwegian telecom group, which is currently soliciting bids for the sale of its ownership in TP through a structured competitive bidding process.

Overview of IFC's Scope of Review

IFC’s review of this proposed investment consisted of appraising relevant Environmental and Social (E&S) related information and documents submitted by PTCL including an Occupational Health and Safety (OHS) manual, Risk Assessment and Environmental Aspects & Impacts Assessment Procedure (RAEAIA), Procedure for Quarterly Environmental, Health and Safety (EHS) Inspections, as well as PTCL’s human resources (HR) policies and procedures. The appraisal also included a visit to PTCL’s head office and a telecom tower in September 2023, as well as discussions with the company’s E&S staff.
