Established in Nigeria in 2016, TradeDepot Inc. (“TradeDepot” or “the Company”) is a retail distribution platform that aggregates traditional/informal retailers and connects them directly to a distribution supply base with a focus on the fast moving consumer goods (FMCG) sector (https://www.tradedepot.co/). The company manages the distribution from its existing 800 square meters warehouse in Oregun in Lagos, Nigeria, in addition to leased space in other warehouses which are managed by third party companies. In addition, deliveries are executed through a fleet of approximately 265 vehicles, which are leased by the company from independent fleet owners.
The proposed investment is an equity investment of US$10 million in TradeDepot (the “Project”). IFC has previous exposure to TradeDepot since 2017 through IFC investee fund Partech Africa (https://disclosures.ifc.org/project-detail/SII/39954/partech-africa), which is an Africa-focused fund.
The scope of IFC’s review included a review of the environmental, health, safety and human resources (HR) management practices and organization.
Due to COVID-19 pandemic related travel restrictions, the environmental and social (E&S) appraisal of the project was conducted through video conferences in May 2021. The appraisal included meetings with TradeDepot’s Chief Business Officer, Chief of Strategy, the Logistics, Facilities and Infrastructure manager and the HR manager. The documentation reviewed included: the Health, Safety, Environmental and Quality (HSE&Q) policy, emergency management plan and first aid management standard operating procedures (SOP) and the partnership service level agreements (SLA), which the company signs with its partners including MDS and WareNext for provision of additional warehousing space. Other documents reviewed included staff contracts, driver contracts including delivery instructions, recruitment policy for staff and drivers, code of conduct, disciplinary and grievances policy, leave policy, consequences policy, travel policy, human rights policy, compensation and benefits, anti-sexual harassment policy, drug and alcohol policy for all employees including contracted workers such as drivers, access control policy, warehouse safety checklist, fleet management and waste management plan SOP. A virtual tour of the warehouse in Lagos was also carried out by IFC’s team as part of the appraisal.
