Project Description

Wolverine World Wide, Inc. (“WWW”, “Wolverine” or the “company”) is a designer, marketer and licensor of a broad range of casual footwear and apparel, performance outdoor and athletic footwear and apparel, kids' footwear, industrial work boots and apparel, and uniform shoes and boots. The company’s products are marketed worldwide in approximately 170 countries and territories through owned operations in the United States, Canada, the United Kingdom and certain countries in continental Europe and Asia Pacific. With headquarters based in Rockford, Michigan, WWW today has over 3,800 employees. The company sources and markets a broad range of footwear styles, including shoes, boots and sandals under many recognizable brand names, including Bates, Chaco, Hush Puppies, Hytest, Keds, Merrell, Saucony, Sperry and Wolverine. The company is also the global footwear licensee of the Cat and Harley-Davidson brands. Wolverine provides quality control for the majority of the units of footwear and apparel sourced under the company’s brand names, while licensees directly control the balance. For the most part, all of the units sourced by the company are procured from third-party manufacturers in the Asia Pacific region. The company has offices in the Asia Pacific region to develop and facilitate sourcing strategies. The proposed investment is to establish a $15 million supply chain finance facility (the “project”) under the Global Trade Supplier Finance program (“GTSF” or the “program”) to finance suppliers of Wolverine. The GTSF was approved by the Board on September 21, 2010 (#28723). Under GTSF, IFC provides short-term financing to suppliers (the “suppliers”) in emerging markets selling to large companies (the “buyers”) on open account terms. Under the project, IFC would purchase invoices submitted by suppliers to Wolverine in several emerging markets, on a discounted basis via the Infor Nexus platform and receive payment of the full invoice value from Wolverine at invoice maturity. Through the proposed project, IFC will provide short-term financing through the GTSF program to suppliers in Vietnam, Cambodia, India and China.

Overview of IFC's Scope of Review

In the GTSF project structure, IFC expects the buyers to have management systems and processes to develop the necessary assurance of good environmental and social (“E&S”) performance among their suppliers. IFC's review therefore focuses on the buyers' management systems and procurement practices applicable to the E&S practices among their suppliers. For the proposed investment, IFC's due diligence involved review of Wolverine’s E&S management system (especially focusing on supply chain E&S risk management) and its operations via a virtual meeting on January 06, 2021. This virtual appraisal also included interviews with Wolverine’s management via video conference; review of documentation, viz.: internal E&S documents, Wolverine's supply chain risk management policies and procedures and related supporting documents such as Production Code of Conduct, annual sustainability report, among others.
