Project Description

Ayala Corporation (the “Group” - www.ayala.com.ph) is one of the largest and most diversified business conglomerates in the Philippines, and an existing IFC client, with operations in real estate, financial services, telecommunications, industrial technologies, power, infrastructure, healthcare, education, and technology ventures. Established in 2015, Ayala Healthcare Holdings, Inc. (“AC Health” or the “company” - https://www.achealth.com.ph/) is the Group's healthcare vertical which aims to develop and integrate ecosystem focused on affordable medicine and access to healthcare services in the Philippines comprising of major business units as follows: 

-          Clinics: Medical care business operated by HMC, Inc. doing business under the name and style of Healthway Medical (“Healthway” or “HMC”) and operated under the Healthway brand, ranging from primary care clinic to multi-specialty centers based in communities, malls, and workplaces.

-          Hospitals: Operation of full-service hospitals including a cancer specialty hospital operated by Zodiac Health Ventures, Inc. (“Zodiac” or the “Cancer Hospital”).

-          Retail Pharmacy: A nationwide pharmacy stores network operated under Generika brand with stores across the Philippines.

-          Health Technology: A business under Vigos Ventures, Inc. doing business under the name and style of Vigos Health (“Vigos”), which develops various products such as electronic medical records and clinical information system which is being used by other AC Health's business units such as Healthway clinics. Vigos likewise entered into a joint venture for the development and operation of HealthNow, an application catered towards providing Filipinos access to medical care without having to leave the comfort of their homes.

-          Pharmaceuticals Import and Distribution: Import and distribution of pharma products under I.E. Medica Inc.  and Medethix Inc., affiliates of AC Health under its wholly owned subsidiary, AHCHI Pharma Ventures, Inc., including supply to AC Health's other business units such as Generika and Healthway.

As used in this document, Healthway and Zodiac shall be collectively referred to as “AC Health Subsidiaries”. AC Health and the AC Health Subsidiaries shall be referred to as the “AC Health Group”.

IFC is considering an investment in the Group of up to US$100 million social bond to be issued by AYC Finance Limited (the “Issuer”), a Cayman Islands wholly-owned subsidiary of AC, to provide the Issuer with long term funds to be used for the proposed sustainable and resilient growth and capacity building of the AC Health Group through the establishment and development of and refinancing investments in a new cancer hospital, by refinancing and expanding the footprint of the Healthway’s primary care and multi-specialty clinics, and by supporting the AC Health Subsidiaries’ technology initiatives, viz.:

Establishment and Development of and Refinancing of Investments in the Cancer Hospital: The first dedicated comprehensive cancer hospital in the Philippines with complete range of treatments including chemotherapy, radiation surgery and diagnostics. This is a greenfield development and is currently in the planning stage, and waiting for the issuance of the detailed rules and guidelines from the competent authority. IFC's proceeds will be used for building construction, purchase of medical equipment as well as working capital, and for refinancing investments made by Ayala in the Cancer Hospital.

Refinancing and Expanding the Footprint of Healthway: IFC’s proceeds will be used for refinancing the investments of Ayala in Healthway and for the network expansion of Healthway’s primary care and multi-specialty clinics which is are currently in operation.

Supporting the AC Health Subsidiaries’ Technology Initiatives: AC Health Subsidiaries’ technology initiatives are focused on the set up of foundational systems, streamlining and standardization of processes and data to benefit from economies of scale and synergies.

 

Overview of IFC's Scope of Review

IFC's environmental and social (E&S) review of this investment included assessment of the Group's environmental, health and safety (EHS) and social management capacity, performance of the AC Health Group vis-a-vis the requirements of IFC's Performance Standards (PS), including E&S management system documents, Human Resources (HR) policies and manuals, life and fire safety (L&FS) plans, resource efficiency documents, the Group's corporate social responsibility (CSR) report, and other relevant technical documentation provided by AC Health. Virtual meetings were held with AC Health's senior managements during August – October 2020, via video conferencing, due to COVID-19 related travel restrictions. 

The Cancer Hospital is still at the planning stage awaiting the regulatory guidelines, and hence, E&S information related to these are not fully available. IFC's E&S due diligence focused on the review of the overarching corporate policies at the Group level and the AC Health Group as well as AC Health's other operational business units whose operational practices are developed, building upon the Group's overarching policy.
