Egyptian Fertilizers Company (“EFC”, or the 'company' - http://www.oci.nl/oci-fcg/our-facilities/egyptian-fertilizerscompany/) is the largest private sector granular urea producer in Egypt. EFC is an existing IFC client and subsidiary of OCI N.V. (“OCI” or the “sponsor” - http://www.oci.nl/), part of the OCI Group, and a global natural gas-based chemicals producer and engineering & construction contractor based in the Netherlands.
EFC was established in 1998 as an Egyptian Free Zone Company which produces 1.55 million tons per annum (mtpa) of urea and is one of the largest producers in Egypt. It started production in 2001 at its Ein Sokhna industrial site, 140km southeast of Cairo and adjacent to the Gulf of Suez. (https://goo.gl/maps/QWqCyidy5a72). OCI Group acquired EFC in early 2008. EFC exports more than 70% of its products mainly to Europe, North America, South America and more recently to Africa. The proposed IFC’s investment in EFC is to refinance its existing debt and support its maintenance capex and working capital needs (“the project”). As such, the project will not involve any new construction or expansion activities.
IFC’s environmental and social (“E&S”) review of this proposed investment involved meetings and discussions with OCI’s management team, including meetings with the corporate directors for Health, Safety and Environment (“HSE”) and Human Resources (“HR”) and the management teams for EFC fertilizer plants in Egypt during 27-28 February 2018. During the review, IFC team visited two of OCI’s operational facilities viz. (Egyptian Fertilizers Company (“EFC”) and the neighboring Egypt Basic Industries Corporation (“EBIC”) – a group company that supplies ammonia to EFC.
The review also consisted of appraising HSE information submitted by the company. Key documentation reviewed included: the HSE management system manuals containing the company’s HSE Policy, standards, plans and procedures and instructions in relation to HSE management, safety guidelines, HSE related monitoring records; EFC Annual Reports; and OCI HR policies and procedures.
IFC also considered relevant E&S documentation related to the previous investments in the company. EFC is currently active as a subsidiary of IFC investments in OCI Group (disclosed in 2011 under project # 30974 (https://disclosures.ifc.org/#/projectDetail/ESRS/30974). During the time of IFC’s investment, the E&S performance of this project was considered satisfactory.
