IFC proposes a US$150 million financing, comprising $50 million A Loan, US$75 million B Loan and US$25 million C Loan, to China YuHua Education Corporation Limited (“YuHua” or the “Company”) to fund its organic and inorganic (acquisition-driven) expansion. The Company is an integrated private education company offering educational services in Henan province, a frontier region of China.
Being one of the largest private education service providers from kindergarten to university in China, the Company currently owns 27 schools in China and is one of the major private school operators in Central China that integrates pre-school education, basic education and higher education. In terms of total enrollment size, YuHua is the largest integrated education group in China. The Group’s Zhengzhou Technology and Business University offers comprehensive tertiary level education and the Group’s K-12 schools, on the other hand, provide education from kindergarten to high school. For the school year 2017/2018, the company had enrollment of an aggregate number of more than 82,000 students distributed in two universities (approximately 57,000 students), four high schools (6,306 students), seven middle schools (8,573 students), six primary schools (7,978 students) and eight kindergartens (2,281 students). As at 31 August 2017, the Group employed an aggregate of 4,086 employees, out of which 2,637 were teachers. YuHua plans to acquire schools to enlarge the Company’s school network. Acquisition criteria entail degree granting institutions located in frontier regions with substantial growth potential for higher enrollment rates or in regions with significant demand for labor market.
IFC reviewed the capacity and systems of the company to oversee and monitor compliance with IFC’s Performance Standards, and environmental, social and occupational health and safety regulatory requirements in China, for presently owned and future acquired schools. The review relied on site visits, company’s 2017 annual report, presentations and interviews conducted by IFC in March 2018. The site visits covered one university and three schools (primary and middle schools) in the cities of Zhengzhou, Xucang and Kaifeng in the Hunan Province. Interviews included School Principals, Vice-Principal in charge of OHS, School Administration and Facilities Maintenance Personnel, Teachers, Responsible of School Canteens, Fire Command Centre Operators, responsible of on-site fire brigade, Security, Head of Human Resources, and other staff with HR, environmental, health and safety (EHS) responsibilities. On each school, IFC visited a mix of facilities (university, kindergarten, elementary/middle/high school levels) with various building types and uses, including lecture halls, auditoriums, educational buildings, several dormitories (students and teachers; older and newer construction; low and high-rise buildings), physical education buildings, cafeterias and canteens and their kitchen back of house areas, fire protection systems, waste management areas, school health centers, water systems, electrical main switchgears, and office and administrative buildings.
