Project Description

Established in 2010 in Tunis, Tunisia, One Tech Holding (“OTH” or the “company” - onetech-group.com). It is a publicly traded diversified industrial conglomerate with 15 subsidiaries with facilities in Tunisia and Morocco, specializing in 3 main business segments: industrial cables, mechatronic (services and products combining electronics and mechanical engineering mainly for the automotive industry), and a small telecom unit (services). The company’s 7 production facilities, with 6 located in Tunisia and 1 Morocco, produce for local and international automotive manufacturers.

 

IFC’s engagement with the company started in 2008 with an equity investment in Fuba Printed Circuits Tunisia S.A. (“Fuba”, Project Name: FUBA PC, Project No: 26716, ESRS disclosed in May 2008), that was converted in 2013 to equity shares of OTH when the company consolidated under one holding group.

 

OTH’s main subsidiaries/manufacturing facilities include:

(i)                 Eleonetech (http://onetech-group.com/companies/mechatronics/eleonetech/) - electronic assembly of complete electromechanical systems (printed circuit board assembly);

(ii)               TTE International (http://onetech-group.com/companies/mechatronics/tte-international/) - assembly, connectors, coil, wiring and wire making cordons;

(iii)            Techniplast Industries (http://onetech-group.com/companies/mechatronics/techniplast/) - plastic injection molding and assembly of semi-finished and finished products;

(iv)             FUBA Printed Circuits (http://onetech-group.com/companies/mechatronics/fuba/) – manufacturing dual and multi-layered printed circuit boards (PCBs);

(v)               Tunisia Cables (http://onetech-group.com/companies/cabling/) - manufacturing of energy, telecommunications, data cables and automotive cables; and

(vi)             One Tech Molding & Assembling (OTMA) – plastic injection molding and wire harness,

 

 

Manufacturing process for power, data and automotive cables at Bizerte and Grombalia facilities of Tunisia Cables includes: wire drawing, stranding or twisting, PVC insulating, degassing, screening, outer sheathing and testing. The Grombalia also specializes in manufacturing of low-voltage electrical cables, overhead connection cables and aerial distribution cables, while the Bizerte site produces signal cables, telecommunication cables, data transmission cables and medium voltage cables.

 

FUBA produces dual and multi-layered plastic circuit boards which are then assembled in Eleonetech using automatic high-tech machines. TTEI specializes in cable wiring and electromechanical assembly of auto cables through wrapping, cutting and criping, potting and assembling processes. Techniplast and OTMA, manufacture automotive parts such as ceiling lights, adjustment mirror supports etc. by using mono-and bi-material plastic injection molding technology.

 

IFC is proposing up to EUR 23 million A loan to support OTH’s EUR 50 million investment program during 2019-2021 period in two phases to; i) increase existing production capacities in Tunisia and Morocco and invest in more sophisticated technology, processes and machinery to manufacture higher value added products (e.g., voluminous, visible and metalized injection molding); and ii) cater to increasing presence of Original Equipment Manufacturers in Morocco and Tunisia as a result of shifting automotive production from Europe to these countries (“the project”).

Overview of IFC's Scope of Review

This is a corporate investment that will, support several capex activities at Tunisia Cables facilities in Tunisia and OTMA in Morocco as well as other corporate investments in OTH and its subsidiaries. Therefore, according to the Environmental and Social (E&S) review procedures for corporate investments, the E&S appraisal focused on evaluating OTH’s corporate E&S Management System (ESMS) and its ability to screen, assess and manage E&S impacts and risks associated with its current operations, proposed expansion and planned future acquisitions.

 

The appraisal conducted between January 18th and 23rd, 2019 included visits to OTMA plant in Morocco, the Bizerte Campus in Tunisia where Tunisia Cable, Eleonetech, TTEI, Techniplast and FUBA plants are located, and the Tunisia Cable’s Grombalia plant. As part of the review, IFC met with relevant technical and management personnel at each plant and at Head Quarters in Tunis, as well as senior management responsible for project finance and corporate human resources (HR). Documents related to production, products, plant level EHS policies and procedures, EHS management systems, corporate HR policy, stakeholder engagement, security management, energy efficiency, as well as EHS records, internal monitoring reports, etc. provided by the company were also reviewed and discussed during the appraisal.
