Project Description

Azure Power Rooftop (GenCo) Private Limited (‘Azureroof” or the “Company”) is a 100% subsidiary owned by IFC’s existing client Azure Power Global Limited (Azure or the Sponsor). Azure is a leading solar power company in India with a track record of robust execution and strong growth.  Azure has in-house capacity to undertake engineering, procurement & construction (EPC) as well as operations & maintenance (O&M) services for all its solar power plants.

Azureroof proposes to scale up its portfolio of rooftop and small scale ground mounted solar projects designed, installed and operated for its commercial and industrial (C&I) as well as government clients across India (the “Project”).  The portfolio of rooftop and small scale ground mounted solar projects is expected to have a cumulative capacity of 200MW.   The proposed IFC investment involves a debt financing to the Company and mobilization of senior loans.  IFC loan disbursement to individual projects will be as and when individual power purchase agreements (PPAs) are signed as per predefined and mutually agreed criteria.

Overview of IFC's Scope of Review

The appraisal of Azureroof builds upon appraisal and supervision of IFC’s existing investments in Azure and its various subsidiary companies (IFC project #28631, #29510, #35058). Azure reports to IFC regarding the ongoing management of its environmental and social performance has been satisfactory to date.

IFC’s review of this Project consisted of appraising environmental and social information made available by the company including a) Corporate Social, Environment and Health & Safety Management System (SEHSMS) manual of Azure applicable to all projects and subsidiary companies (including the company) and critical procedures relating to emergency response plan, internal auditing and reporting, training etc; b) E&S Action Plan prepared for FMO; c) E&S performance benchmarking study commissioned by Azure; d) Security manual; e) key aspects of O&M manual; f) average resource consumption details; g) EHS provisions in construction contract documents; h) safety provisions integrated in rooftop projects; i) HSE incident record of Azure for last 3 years and j) Human Resource (HR) related policies and procedures such as code of conduct and business ethics.

IFC’s appraisal also focused on assessing the effectiveness and performance of environment, health, safety and social management systems in place at Azure especially at company's ongoing and completed rooftop project sites. Five sites were visited as part of IFC E&S appraisal process and the sites include: a) rooftop project commissioned at Oberoi-Trident Hotel property in Gurugram, Haryana; b) Sarita Vihar Depot of Delhi Metro Rail Corporation (DMRC), New Delhi; c) Bhagirathi water treatment plant premises of Delhi Jal Board (DJB), New Delhi; d) Old secretariat building complex, Gandhinagar, Gujarat; and e) private residential rooftop projects in Gandhinagar, Gujarat.  The DJB project is currently under construction phase and remaining all sites were in operational phase.  The appraisal site visits were undertaken on 16th and 22nd November, 2017 during which discussions were held with company's project management teams, construction contractors, workers etc.  Corporate level meetings and discussions with company's senior management (comprising of finance, planning & design, construction, O&M, HR) and E&S Corporate team was held on 17th November, 2017 at Azure's corporate office in New Delhi.

IFC’s appraisal considered environmental and social management plans for the project and gaps if any between these plans and IFC requirements. Where necessary, corrective measures, intended to close these gaps within a reasonable period, are summarized in the paragraphs that follow and in the agreed Environmental and Social Action Plan (ESAP) disclosed in this review summary. Through implementation of these management plans and the ESAP the project is expected to be designed and operated in accordance with Performance Standards objectives.
