Project Description

IFC is partnering with Falck Danmark A/S (“Falck”) and the Investment Fund for Developing Countries (“IFU”) to form a Special Purpose Vehicle (“SPV”) investing in sub-Saharan Africa in both minority and majority stakes in existing and greenfield companies within the scope (“Project”). The SPV will focus on pre-hospital care service provision (more precisely, primary and secondary health clinics and hospitals together with auxiliary medical services such as health prevention, diagnostic laboratories, pharmacies and health personnel training) (“Scope”), but may also invest in other health projects on an opportunistic basis (e.g. secondary hospitals).
The key environmental and social (“E&S”) aspects associated with the project relate to the Environmental and Social Due Diligence (“ESDD”) process that the SPV will conduct prior to acquisitions or establishment of businesses within the Scope, to ensure that risks and impacts, if any, will be adequately identified. The ESDD will cover some, or all, of the following areas:
adequacy of E&S management systems and the standard of clinical practices;
availability of local skills;
life and fire safety (“LFS”);
waste and wastewater management;
resource efficiency (water and energy) and security
The purpose of the ESDD will be to adequately identify Environmental, Health and Safety (“EHS”) risks and impacts and support the design of reasonable measures directed at addressing such EHS risks and impacts.
The SPV will ensure that the acquired business works towards implementation of the specific measures agreed on the basis of the ESDD to comply with the host country regulations and IFC’s Performance Standards as well as the World Bank Group’s Environmental, Health and Safety Guidelines (“WBG EHS Guidelines”).
The information about how the IFC, IFU and Falck propose that the SPV will manage the EHS risks and impacts that may exist in connection with its investments within the Scope, is detailed below.

Overview of IFC's Scope of Review

IFC’s environmental and social review of the project involved a review of the annual report for Falck (2014); a review of documentation and policies supplied by Falck – Environmental Policy, Community Policy, OHS Policy, Business Ethics Policy, Code of Conduct and Labor Policy; a visit to clinics owned by Falck and operated in Poland, Falck Medycyna; and discussions with representatives of the Sponsors (Falck) in Copenhagen, regarding the management of potential environmental and social impacts of the project.
