Project Description

The review of this project consisted of a site visit by IFC staff in February 2015 to BTST Limited in Mexico, Peru and Miami, to obtain direct understanding of its proposed operational activities. IFC also appraised a summary of BTST’s infrastructure, human resources policies and procedures, and a procedure for screening supplier sub-contractors and suppliers.

Overview of IFC's Scope of Review

The Project involves an investment by IFC in BTST (or the “Company”) of approximately $18m of equity in BTST Limited (“BTST” or the “Company”) to develop new shared telecommunications tower sites in Mexico, Colombia, Peru, El Salvador, and Guatemala. BTST plans to lease land for all of its sites.

BTST’s headquarter offices are in Miami, Florida. The company expects to build about 550 telecommunications towers per year in the region in which it will operate. BTST expects to operate one office site and one small warehouse site per country in existing buildings.

E & S Project Categorization and Applicable Standard

While all Performance Standards are applicable to this investment, IFCs environmental and social due diligence indicates that the investment will have impacts which must be managed in a manner consistent with the following Performance Standards. If IFCs investment proceeds, IFC will periodically review the the project’s ongoing compliance with the Performance Standards

PS4: Community health, safety and security issues are not expected to arise in this project, as no armed security guards will be used.

PS6: Biodiversity conservation and natural habitat issues are not expected to arise in this project, as sites are chosen only in already-developed areas.
PS7: Indigenous peoples issues are not expected to arise in this project, as no local community members around sites will be from peoples defined as indigenous under PS7.
PS8: Cultural heritage issues are not expected to arise in this project, as sites will not be developed where such issues would arise.

This project involves the construction of new telecommunications towers and their maintenance. The key environmental and social (“E&S”) issues associated with the project are in the construction of towers; labor and working conditions (including employee and contractor occupational health and safety); and pollution prevention and abatement. The nature of the company’s operations is such that no major adverse environmental or social impacts are expected to result from the project, and that it will be possible to avoid or mitigate any limited adverse impacts that might result. As a result, it has been classified as a Category B project according to IFC’s Procedure for Environmental and Social Review of Projects.

Environmental and Social Mitigation Measures

Most of BTST’s construction activity is undertaken directly by contractors and subcontractors. BTST employs one key contractor who oversees a number of subcontractors. The key contractor has a set of procedures for screening subcontractors prior to their engagement, and those procedures cover screening of E&S issues. Contractors are overseen by BTST project managers.

Environmental and Social Assessment and Management System

As a condition of IFC’s investment, BTST’s E&S management system will be improved, to include E&S policies and procedures written (in Spanish) for BTST employees to follow, and to cover relevant issues in the management of key contractors, in compliance with IFC Performance Standards.

Identification of Risks and Impacts

BTST’s E&S management system will provide for E&S review to be performed prior to the development and management of all sites and facilities, commensurate with the nature of each site or facility, and the level of E&S risks and impacts at each site/facility. E&S review will ensure that BTST’s operations will comply not only with all applicable E&S laws and regulations, but also with IFC’s Performance Standards 1 through 8 and IFC’s Telecommunications Guidelines.

Organizational Capacity and Competency

Under IFC’s investment, BTST will appoint at least one qualified person at its headquarters to be an E&S coordinator, responsible for improving the company’s E&S management system and implementing it.

Management Programs

BTST will not proceed with the development of any site that cannot be expected to comply with applicable E&S standards. BTST will supervise E&S risks and impacts as they unfold in all of its operations for the duration of its involvement.

BTST will screen (or have a contractor screen on its behalf) potential key suppliers, vendors, and sub-contractors to ensure that they are well-established companies with solid track records in quality management and labor compliance. BTST will engage with only those who can use documented procedures consistent with IFC and local standards.

BTST will include E&S terms in its agreements with core contractors, vendors, and suppliers. Those terms will be consistent with IFC and local E&S standards, and will cover topics including labor and working conditions, and materials and waste management. In the case of existing agreements in which E&S terms do not comply with IFC Performance Standards, BTST will ensure that appropriate new E&S terms are included as soon as any agreement can be renewed or rewritten. BTST will monitor compliance with E&S terms in its agreements with contractors, and will require improvement in the event that non-compliance is identified.

Stakeholder Engagement

BTST is committed to complying with IFC Performance Standards on disclosure and stakeholder engagement. BTST plans to develop social programs for local communities for the benefit of community members.

Stakeholder Engagement Plan

As a condition of IFC’s investment, BTST will develop policies and procedures to cover stakeholder engagement prior to the construction of any new BTST tower or any other free-standing facility. Those policies and procedures will provide for BTST to meet and consult with representatives of any neighboring / affected communities in advance of new tower placement and to disclose relevant location and technical details to these representatives. Records will be kept of such meetings.

BTST’s policies and procedures will also include a commitment to follow up on any complaints from community members until they are resolved. If a substantial number of community members complain about the same issue, and circumstances indicate that a meeting for BTST to engage with community members may be useful, then BTST will organize such a meeting.

BTST will continuously make available information to local community members on electromagnetic radiation from tower sites as needed, consistent with IFC’s Telecommunications Guidelines.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.
