Project Description

IFC will lend a total amount of up to US$10 million to provide individual loans to selected suppliers in Bangladesh (“Suppliers”) of VF Corporation (“VF” or the “Group”) to finance their medium term capital expenditures -such as building structure upgrades or fire safety improvements. The suppliers to be financed under this project have undergone Structural, Electrical and Fire safety (SE&Fs)assessments under the Alliance protocol, and the funds are intended to implement corrective actions derived from these assessments (the “SE&Fs Action Plan”).

VF is a leading apparel and footwear company owning more than 30 brands (including Timberland, The North Face and Wrangler). VF will select Suppliers eligible for the proposed financing program based on the outcome of the Structural, Electrical and Fire safety assessments carried out. The Suppliers will implement the corrective actions defined in the Action Plan from the assessment and VF will confirm full implementation using third party companies

Overview of IFC's Scope of Review

IFC expects Suppliers to be financed under this program to have an adequate Environmental and Social (“E&S”) performance, other than Structural, Electrical and Fire safety improvements to be financed under this project; therefore, Supplier’s conformity with VF’s global compliance principles is expected. IFC’s review focused on VF’s management systems and procurement procedures in relation to the E&S practices among its Suppliers in Bangladesh.

IFC’s due diligence involved the review of VF’s global compliance system through publicly available information, telephonic discussions with VF’s compliance team, and review of sample audits and action plans from VF’s Suppliers in Bangladesh. Audit reports and action plans reviewed cover both VF’s compliance system and the specific assessments for Structural, Electrical and Fire safety elements. VF’s documents reviewed included the 2011 Global Compliance Report, the Terms of Engagement, the Global Compliance Principles, the Environmental Compliance Guidelines, Facility Compliance Guidelines, the Factory Audit Procedures and the Code of Business Conduct; all documents can be found at: http://www.vfc.com/corporate-responsibility/social/global-compliance. In addition, given the nature of the project, IFC reviewed the framework to audit suppliers under the Alliance for Bangladesh Worker Safety (“Alliance”) of which VF is a member. Publicly available documents such as the Alliance Fire Safety and Structural Integrity Standard and the Alliance Assessment Protocols were also reviewed.
