Project Description

The proposed investment involves an equity investment of up to INR 3,893 million in common shares of the company, through a Qualified Institutional Placement (“QIP”) process. The proceeds will be used for meeting business requirements including payment towards spectrum that may be auctioned by Department of Telecommunications (DoT) in future and for general corporate purpose (hereafter referred to as the “project”).

ICL is the third largest wireless operator in India with a revenue market share of 16 % and has the 7th largest subscriber base amongst the mobile telecommunications company in the world (based on operations in a single country). The company’s network currently extends across all 22 of India’s telecommunications services areas.

ICL is publicly listed and is part of the Aditya Birla Group. The Aditya Birla Group is a conglomerate with operations in more than 30 countries and a history of over 50 years of businesses in different sectors including, among others, mobile telecommunications, metals and mining, cement, carbon black, textiles, garments, chemicals, fertilizers, life insurance and financial services industries

Overview of IFC's Scope of Review

The review of this project builds upon the appraisal and supervision of IFC’s previous investment (A-loan) in Idea Cellular Limited (hereafter referred to as “ICL” or the “Company”) in 2008 (IFC project #25545). ICL reports to IFC regarding the ongoing management of its environmental, health & safety and social performance, which has been satisfactory. IFC’s review has drawn upon the review of information and past supervision activities.

Accordingly, IFC’s review of the project consisted of appraising environmental and social information including a) policies and procedures related to management of environment, health and safety and social/labour aspects; b) business responsibility report (included in the 2013 annual report); c) sustainability roadmap and progress; and d) human resource policies and procedures including company code of conduct. The appraisal also involved discussions with senior management, technical and sustainability teams and site visits to their corporate office in Mumbai and site/zonal offices in Mumbai and Patna (Bihar).
