Project Description

Founded in 1993 and headquartered in Beijing, Hollysys Automation Technologies Ltd. (“Hollysys” or the “Company”), (http://www.hollysys.com | NASDAQ: HOLI) is a leading provider of automation, control technologies and related applications for a variety of sectors such as process industries, utilities, high-speed railway, subway, etc. Hollysys has a presence in over 60 cities in China, with subsidiaries and offices in Singapore, Malaysia, and Dubai.

Hollysys offering comprises of proprietary technologies and products covering design, manufacture and installation. The company’s core business covers three main areas:
Industrial Automation: With its solution suite including Distributed Control System (DCS), Programmable Logic Controller (PLC) etc. for various industry sectors; and nuclear power automation solutions (engineering design, procurement, integration, installation, support, and specialized services for the safe, reliable, and economical operation of the nuclear power plant);
Rail Transportation: Comprising High-speed rail signaling system: Train Control Center (TCC) and Automatic Train Protection (ATP); and subway supervisory and control platform; and
Mechanical & Electrical Solutions: Design, electrification and engineering services.

The company has two manufacturing plants, one in Beijing (for rail products and circuit boards) and another in Hangzhou (for DCS product assembly, established in 2003). At these facilities, the company designs and manufactures the hardware for its products, and in rare cases some production is outsourced depending on special circumstances and delivery requirements.

IFC is considering a corporate loan of $20 million to the Company to strengthen its capital structure (“Project”).

Overview of IFC's Scope of Review

IFC’s review of this proposed investment consisted of appraising technical; environment, health and safety, (EHS) and social related information submitted by Hollysys such as its EHS policies and procedures manual, organization chart, human resources (HR) policies and procedures; emergency response plan, EHS related key performance indicators (KPIs); and accident and incident reports. The appraisal also included a site visit to Hollysys’s manufacturing facility in Beijing and discussions with its senior management as well as the technical, HR and EHS teams.

IFC’s appraisal considered environmental and social (E&S) management plans for the Project and gaps, if any, between these plans and IFC requirements. Where necessary, corrective measures intended to close these gaps within a reasonable period of time are summarized in the paragraphs that follow. Through implementation of these actions, the Project is expected to be designed and operated in accordance with Performance Standards objectives.
