Project Description

SAMHI Hotels Private Limited (“SAMHI” or the “Company”), incorporated in 2010, is the flagship holding and operating company of the SAMHI group, which comprises of joint ventures and subsidiaries (the “Group”). The Group is involved in the development and ownership of a portfolio of hotels across India including in economy and midscale segments. SAMHI’s hotel properties are operated by major global hotel operators like Accor, Marriott, Hyatt and Starwood under their brand names.

SAMHI has also entered into 2 joint ventures with international hotel operators Marriott and Accor. SAMHI JV Business Hotels Private Limited (“SAMHI JV”) (held 67% by SAMHI and 33% by Marriott through Luxury Singapore Holding Company Pte. Ltd.) is mainly focused on development of midscale brand “Fairfield” across India along with other Marriott owned brands. Barque Hotels Private Limited (“Barque”) (held 60% by SAMHI and 40% by Accor through AAPC Singapore Pte. Ltd.) is an SPV currently developing a portfolio of 17 low-budget economy hotels (4 already operational) with planned room inventory of around 2000 across various cities in India. All the properties under Barque are managed and operated by Accor under its global “Formule1” brand (F1).

SAMHI is currently implementing its growth plan, through the development of a portfolio of 27 hotels (7 operational, 17 under development, 3 more acquisitions in pipeline, comprising around 4000 rooms). The financial closure for debt and equity component for this identified portfolio is mostly complete.

The Group is also exploring opportunities to add approximately 10 more assets (around 1500 rooms) to the portfolio. These assets would primarily be in the midscale segment but some could be developed or acquired in economy / budget segment. This may encompass the development of roughly 5 new greenfield hotels, and may also include acquisition and/or rebranding of roughly 5 brownfield properties. However, the exact mix will be determined depending on the opportunities opening up to the Group going forward.

The proposed IFC investment is an equity investment in SAMHI for next phase of growth (“the Project”).

Overview of IFC's Scope of Review

IFC’s review of this investment consisted of appraising technical, environmental, health and safety (EHS) and social information submitted by SAMHI Hotels Private Limited, the flagship holding and operating company of the SAMHI Group, comprising of joint ventures and subsidiaries (“SAMHI”, “SAMHI Group” or the “Group”) including: business details, HR policies, regulatory permits for under construction and operating hotels, life & fire safety standards and assessments, EHS manual for contractors, resource efficiency related information, on-site/off-site emergency response plans, and other EHS related studies completed for its hotels. The appraisal included site visits to the (a) SAMHI’s operational hotels in Ahmedabad (in Gujarat), Hyderabad (in Andhra Pradesh) and Bangalore (in Karnataka) and under construction hotels in Bangalore and Gurgaon (in Haryana); and (b) operational Formule1 hotels in Ahmedabad and Bangalore and those under development (fit-outs) in Hyderabad and Gurgaon and discussions with senior management.

IFC’s review considered SAMHI’s management of its EHS risks and impacts in development and operation of its hotels and environmental and social management plans for the Project and gaps, if any, between these plans and IFC requirements. Measures included in the management plans and, where necessary, corrective measures intended to close these gaps within a reasonable period of time, are summarized in the paragraphs that follow and in the agreed Environmental and Social Action Plan (ESAP) disclosed in this review summary. Through implementation of these management plans and the ESAP the Project is expected to be designed and operated in accordance with Performance Standards objectives.
