Project Description

Borets International Limited (“Borets” or the “Company”) is one of the leading ESP (“Electric Submersible Pump”) manufacturers globally and market leader in Russia. The Company designs and manufactures pumps, motors and cable used in artificial lift systems and provides a full range of related services, including installation, maintenance and repair, leveraging its extensive research and development, manufacturing and service infrastructure. The Company has 3 manufacturing operations in the USA, Canada and Slovakia, and 4 in Russia. A further manufacturing facility is currently being constructed in Russia, Stariy Oskol. The Company also has 16 servicing facilities, including 7 in Russia and remaining 9 servicing centers are in the USA, Canada, Venezuela, Kongo, Colombia, Serbia, Oman, Egypt, Brasil.

Proposed project is to finance long-term corporate funding needs of the Company including (i) working capital and capital expenditure needs of the Company in relation to its international expansion, (ii) refinancing existing IFC and EBRD loans, and (iii) acquisition of shares in Borets.

Overview of IFC's Scope of Review

Borets International Limited (“Borets” or the “Company”) is an existing IFC client. In 2009 IFC invested in Borets to support its international expansion and modernization of its operations in Russia. During this investment Borets demonstrated its commitment to continuous improvement of Environmental and Social (“E&S”) performance and completed the actions as defined in the Environmental and Social Action Plan (“ESAP”). The Environmental and Social Review Summary (“ESRS”) document and ESAP for the first investment were disclosed locally and on the World Bank Infoshop.

Available information about the Company’s E&S performance was sourced from the previous IFC investment in the Company and taken into account during this appraisal. As such, the scope of this review was mainly focused on the corporate E&S management system and further expansion of Borets production and servicing facilities.

Thus IFC’s environmental and social review comprised visits to Borets headquarters located in Moscow, Russia, a manufacturing facility located near the town of Dubnica nad Vahom, Slovakia and a servicing facility located in outskirts of the town of Zrenjanin, Serbia. The site visits included site tours and meetings with Borets corporate and site management representatives and discussions on operations, human resources, social, environmental, occupational health and safety (“EHS”) topics.
