Project Description

Brunswick Rail (“Brunswick” or the “Group”) is a Bermudian holding company which provides freight railcars to corporate clients in the Russian Federation primarily on an operating lease basis via its railcar owning subsidiaries. Brunswick is one of the largest privately-owned freight railcar leasing companies active in the Russian Federation with a fleet of over 22,000 railcars. The Group is looking to expand its fleet to optimize its operations and achieve the critical mass it needs to thrive in the sector.

IFC has an equity stake in Brunswick and has provided loans to several of its subsidiaries, inclusive of OOO Brunswick Rail Leasing, OOO Brunswick Rail Service, Brunswick Rail Holding Limited, and Brunswick Wagon Leasing. The proposed financing is a significant next step for Brunswick to finance its stage of growth and increase the company''s transparency and corporate governance discipline.

Overview of IFC's Scope of Review

IFC’s review of this repeat investment relied on discussions with technical and human resources staff as well as the ongoing supervision of Brunswick’s environmental and social performance. This included a review of Brunswick’s most recent Annual Monitoring Report for the 2011 reporting period (dated April 2012) and updated information provided by the Company. IFC Staff also visited senior management, inclusive of those individuals responsible for E&S activities under the previous investment (February 2012).
