Project Description

The proposed project (the “Project”) is to further extend an existing partnership with BNP Paribas (“BNPP”) under IFC''s Global Trade Supplier Finance program (“GTSF” or the “Program”), approved by the IFC Board in September 2010 (Original Project Link #28723), to provide financing to rubber suppliers to Pirelli International Limited (“Pirelli” or the “Buyer”) procured from Indonesia and/or Thailand.
Under the terms of this proposed investment, IFC would purchase a pro rata interest in receivables due from Pirelli to Utexam Solutions Limited (a subsidiary of BNP Paribas Ireland). Utexam Solutions Limited purchases rubber from Indonesian and Thai suppliers for sale to Pirelli. The Project, therefore, increases access to finance for suppliers and facilitates immediate improvement in their cash flow.

Overview of IFC's Scope of Review

IFC due diligence has involved: (i) consultations with Pirelli staff to understand the structure of Pirelli’s rubber supply chain in Thailand and Indonesia, including the existence and role of specific entities such as primary producers, aggregators, traders and/or processors who ultimately supply rubber to Pirelli; (ii) a review of Pirelli documentation pertaining to sustainable management and in particular management of the supply chain, including Pirelli’s Codes of Conduct related to suppliers (Code of Conduct, the Values and Ethical Code of the Pirelli Group and the Social responsibility Policy for Occupational Health, Safety and Rights, and Environment), and examples of sustainability clauses used in contracts with suppliers; (iii) a review of publicly available information describing Pirelli E&S Performance (e.g., the 2011 Sustainability Report); (iv) an internet-based review of information concerning the nature of rubber production in Thailand and Indonesia with an emphasis on the structure of the rubber supply chain and associated environmental and social sector risks therein; and, (v) application of IFC’s GMAP (a country/commodity assessment of E&S risks associated with primary production of agro-commodities) against primary production of rubber in the above two countries.
