Project Description

Headquartered in Zagreb, Croatia, Atlantic Grupa d.d. (the “Atlantic Group” or the “Group”) is a multinational company whose business activities comprise the production, development, sale and distribution of fast moving consumer goods in the markets of former-Yugoslavia as well as Western Europe. It is the leading distributor of consumer goods in South-Eastern Europe as well as the largest regional producer of food supplements, amongst other things. Atlantic Group is also the owner of the leading private chain of pharmacies in Croatia.

The Project entails the refinancing of the Group debt, including debt of its Serbian subsidiaries and is aimed at supporting the Group’s balance sheet restructuring. The total project is estimated at €300 million. The proposed IFC investment is an A-Loan of up to €55 million for IFC’s own account. The balance of the project funding is to be provided by the European Bank for Reconstruction and Development (EBRD) as well as other commercial lenders.

Overview of IFC's Scope of Review

IFC’s appraisal of this project included the review of the holding company Atlantic Grupa d.d. (the “Atlantic Group”) which is based in Croatia and relevant Group companies operating in Slovenia, Croatia, Bosnia-Herzegovina, Macedonia and Serbia. Visits by IFC to the selected sites were performed in order to review environmental and social policy, management system, procedures, including OHS, and resource efficiency practices. The visits included Atlantic Group Zagreb’s headquarters and following Atlantic Group’s subsidiaries:

Meetings were held with Vice President for Corporate Affairs, Corporate Treasury Director, Corporate Quality, OHS (Occupational Health and Safety) / Security and Environmental Managers, Plant Managers, Plant level Quality, Corporate HR Manager, Plant HR Managers, Plant Maintenance Managers, Plant Quality Managers, Plant Corporate Affairs Managers, and Supply Chain Manager for Coffee and Nuts.
Environmental and social documents reviewed during the appraisal included Environmental & Social (E&S) questionnaires for each plant, corporate level environmental management procedures, Food Safety and Quality Assurance handbook, third party Ekoenerg Environmental Site Assessment Reports dated 2012 prepared for DEG and EBRD for newly (2010) acquired Droga Kolinska sites (facilities in Slovenia, Serbia and Bosnia Herzegovina), Purchasing Procedures, Preventive maintenance plans, Fire and emergency plans, Corrective Action Plans prepared by Ekoenerg, external environmental assessment company, HR Handbook (including policy and procedures, training records, job descriptions, accident statistics), Atlantic Group Magazine, plant’s operational permits, emission and discharge permits, ambient noise level permits, drinking and waste water analyses, emission measurements, ISO 9001 and other management system certificates, supplier forms, and corporate affairs activity report.
