Project Description

The proposed project is a risk sharing facility (“RSF”) with CREDIT AGRICOLE BANK (the “Bank”), a 99.9955%-owned Ukrainian subsidiary of Credit Agricole S.A, on portfolio of receivables generated by Bayer in connection with sales of crop-protection products to private sector farmers in Ukraine. The RSF will cover a portfolio of seasonal receivables (with maturities less than 1 year) with a total portfolio amount of up to US$35 million equivalent in local currency. IFC will share 50% of credit losses in the portfolio with the Bank up to a maximum IFC exposure of up to US$17.5 million equivalent in the local currency. IFC will enter into agreement with Bayer in order to complement the risk sharing arrangement with the Bank.

The Project is designed to improve access to finance for small and medium enterprises (SMEs) that purchase or would purchase, should they have access to credit, certified and top quality crop protection products from Bayer Ltd., Ukraine (the “Company” or “Bayer Ukraine”).

Bayer Ltd., Ukraine, a fully owned subsidiary of Bayer AG, offers products in three business areas: CropScience (crop protection and non-agricultural pest control), HealthCare (pharmaceutical and medical products) and Material Science (high-tech polymers and materials). The Company is a main input supplier of crop protection products, mainly insecticides, herbicides and fungicides in Ukraine and the Project will support the Company’s plans to extend its reach to a larger pool of farmers who currently lack access to credit and are using fewer and lower quality products for their agricultural production.

Overview of IFC's Scope of Review

The proposed project is a repeat IFC’s risk sharing facility with Bayer Ukraine and Raiffeisen Aval and extension of IFC’s commitment with Bayer through risk sharing facility that will entail partnering with Credit Agricole in Ukraine.

The environmental and social (E&S) review of the existing project (Project # 30595) was conducted in March 2011. The summary of the review (ESRS) and the Action Plan (ESAP) can be found at the following link:

To determine the compliance of the existing project with at-approval agreements and evaluate the new proposed Project, the scope of the appraisal included a site supervision visit to Bayer Ukraine in January 2012. The site visit has focused on key updates and changes in Bayer’s quality, health, safety and environment (QHSE) policies and procedures, Ukrainian legal framework, incident statistics, local regulatory product certification, Bayer’s communications with farmers on safe use of crop protection products (CPP) and promotion of Integrated Pest/Disease Management (IPM/IDM) plans.

The E&S appraisal of this new project consisted of discussions with Bayer’s senior management, including the QHSE manager; the occupational health and safety (OHS) specialist; representatives of human resources, logistic, legal, supply chain, marketing, business development, customer services and sales departments.

Also, the implementation progress of the ESAP agreed upon under project #30595 and actions to enhance Bayer’s E&S performance were discussed during this site visit. These actions will be implemented in the framework of the existing ESAP, which is also applicable for the proposed project.
