Project Description

SPSL, a wholly owned subsidiary of OSL, has been awarded a 17-year contract by Petronet LNG Limited (“Petronet”) to provide port services at Petronet’s upcoming LNG terminal at Kochi in the state of Kerala in southern India. OSL is the leading Indian provider of comprehensive port management services such as harbor towage, mooring, pilotage, ship-to-ship transfer of cargo, and control tower operations. Ocean Sparkle operates a fleet of 81 vessels spread across 22 locations in India and has been providing port management services at the Dahej terminal since 2004 (via a group company, Sealion Sparkle) where Petronet has an operating LNG Terminal. As part of its contract with Petronet, SPSL will: purchase and deploy 4 tugboats and 1 other marine craft at Kochi; and provide personnel for Petronet’s port operation services including for operation and maintenance of tugs and marine craft, mooring crew, tug and marine craft crew, engineers, radio officers etc. (“Project”). IFC is considering providing a loan to part finance the Project.

Overview of IFC's Scope of Review

The review of this Project builds upon the appraisal and supervision of IFC’s previous investment in the Ocean Sparkle Limited (“OSL”) and its subsidiary Sealion Sparkle (Sealion Sparkle Project # 23081, Ocean Sparkle II, Project # 25169, and Ocean Sparkle III Project # 27021). OSL reports to IFC regarding the ongoing management of its environmental and social performance, which has been satisfactory. IFC’s appraisal mission in July 2011 confirmed that the company is meeting the requirements of the original investment agreement and continues to demonstrate that its activities comply with applicable Indian laws and regulations, and IFC requirements.OSL proposes to implement its existing social, environmental, health and safety management systems (SEHSMS) in Sparkle Port Services Limited (“SPSL” or the “Company”), which is a 100% subsidiary of OSL. Accordingly, the review consisted of appraising technical, environmental and social information submitted by OSL including a review of: OSL’s Safety, Environment, and Quality System Manual; Human Resource Manual; Incident Monitoring Records; Safety Equipment (on board) inspection and testing logs including records also for mock drills, training, safety committee meeting, waste management; and SPSL’s Port Services Agreement with Petronet LNG Limited (“Petronet”). The appraisal team interviewed the corporate and site operations managers of OSL. Further, the appraisal included a site visit in July 2011, to the Company’s existing operations at Kochi port in the state of Kerala, India.
