While all Performance Standards are applicable to this investment, IFC’s environmental and social due diligence indicates that the investment will have impacts which must be managed in a manner consistent with the following Performance Standards: - PS1: Social and Environmental Assessment and Management Systems; - PS2: Labor and Working Conditions; - PS3: Pollution Prevention and Abatement; and- PS4: Community Health, Safety and Security. As the choice of the right of way will be undertaken to avoid impacts to human activities, neither economic nor physical displacement is expected. In the event that minor displacement occurs, the Company will ensure that appropriate compensation is provided in accordance with PS5-Land Acquisition and Involuntary Resettlement. PS6-Biodiversity and Sustainable Natural Resources Management does not apply as these impacts are expected to be insignificant, only small amount areas will be required for installing the poles or pylons. There are no groups in the Project area that would be considered Indigenous People and as such PS7-Indigenous Peoples does not apply. No cultural heritage sites have been identified in the area as such PS8-Cultural Heritage does not apply, however a chance find procedure will be in place during construction period.

The key E&S issues in this Project are occupational health and safety in particular electrocution risk to workers as well as the community during operation and maintenance; solid and liquid waste management during construction and operation; and community engagement. As such the project is a category B project as the aforementioned impacts are limited in scope and can be readily managed by implementing the proposed Environmental and Social Management plan (ESMP).

The Company has presented adequate information and plans to address the E&S impacts to ensure that the Project complies or will comply with national laws and IFC’s Performance Standards on Social and Environmental Sustainability upon implementation of the specific agreed mitigation measures. The information regarding how these potential impacts will be addressed by the Company is summarized in the paragraphs that follow, and in the Supplemental Environmental and Social Action Plan (SESAP) which is disclosed with this review summary. PS1: SOCIAL AND ENVIRONMENTAL ASSESSMENT AND MANAGEMENT SYSTEMS The environment code (le Code de l’Environnement) requires that an Environmental Impact Analysis (EIA) is undertaken for the type of activity of the proposed Project. The ASER whose role is to ensure the implementation of rural electrification projects commissioned the EIA. It contains sections on social, economic and public consultation with community, local authority consultation and non governmental agency. The EIA is thereafter validated by a technical committee of the Ministry of Environment. This process has been completed for the Project. The concession agreement contains an environmental, health and safety management clause and the ESIA contains an Environmental and Social Management System (ESMS) with which the Company will both comply with. The Company will hire a professional to manage Health, Safety, Environment and Social (HSES) matters noting that the HSES professional hired for Comasel St. Louis can assume this role. This HSES Manager will be provided with adequate resources and will work closely with ONE’s Environmental Health and Safety Manager to put in place the necessary programs to implement the Environmental and Social Management Plan outlined in the ESIA and the additional proposed actions in the IFC SESAP to ensure that the Project is developed in a manner consistent with the requirements of host country laws, the concession agreement and IFC’s Performance Standards. The construction contractor(s) that will be retained through an international selection process will be required to submit an environmental management plan including a chance find procedure and community grievance mechanism prior to commencement of works. The key E&S issues to be addressed by the management programs include: (i) occupational health and safety practices and training including electrocution risks; (ii) labor and working conditions including use of local workers; (iii) community health and safety; furthermore provide training for hazards marking; (iv) emergency preparedness and response; (v) noise management;(vi) sulfuric acid batteries, and fuel storage and handling; (vii) solid and liquid waste management; (viii) maintenance equipment and clearance of vegetation under 30kV distribution lines;( ix) selection of distribution line routes avoiding installment on cultivated zone or protected / high conservation value area; (x) environmental and social performance monitoring. As part of this investment the Company will be required to complete the Annual Monitoring Report (AMR) developed by IFC for reporting HSES performances. This AMR could be used as a basis of sustainability reporting to senior management. PS2: LABOR AND WORKING CONDITIONS Comasel St. Louis has developed a Human Resources Policy as they will be managing Comasel Louga, the same HR Policy should be applicable. Comasel Louga will, prior to operations, develop an operating handbook with HR practices and procedures ensuring compliance with the national labor and employment laws and in line with the requirements of this Performance Standards. The legal employment age in Senegal is 18 years old. Prior to employment, potential candidates must provide an identification card or other proof of age. The agency in charge of pension in Senegal l’Institut de Prevoyance Retraite du Senegal (IPRES) provides access to medical and retirement benefits. IPRES requires contributions from employees and employers and as such the Company will subscribe to it. The Company plans to hire contractors and direct employees. Each employee will be provided with an employment contract which will contain terms and conditions of their employment (such as duration of the contract; job title; terms of reference; wages and benefits; hours of work; overtime arrangements and compensation; and probation period). Temporary workers will be provided a written contract to document their working relationship with the Company. The Employee Handbook will outline the employee’s rights under national labor and employment law including the right to freedom of association; compensation system including overtime; working conditions and terms of employment; holidays; sick leave; maternity leave and other type of leave; insurance benefit; access to training; promotion; loans; performance evaluation system; performance awards; termination of employment; retirement; grievance mechanism; discipline; furthermore the Company will practice non discrimination with regards to the aforementioned matters. The Company will provide its workers with a safe work environment. The Company will provide its workers with adequate Personal Protective Equipments (PPE) as relevant to work undertaken; training on HSES will be provided to each staff. The Company will require that the construction contractor provides PPEs to staff such as safety boots, hand gloves, goggles, ear plugs, and uniforms/high visibility vests as relevant to the job undertaken. First aid kits will be available in each Company vehicle. Work permits will be required for all tasks requiring intervention from qualified personnel. The Company will also require that installment of the distribution line is undertaken by qualified personnel and that health and safety information sessions are conducted at the beginning of construction work. Furthermore, the construction contractor will prioritize local community employment. PS3: POLLUTION PREVENTION AND ABATEMENT The proposed Environmental and Social Management plan included in the ESIA outlines measures for the Company to avoid or minimize the release of pollutants. The measures include: the storage and handling of sulfuric acid; installation of transformers that do not contain polychlorinated biphenyls; and selection of generators that have lower noise emissions. All oily wastes from vehicles will be collected and disposed appropriately. Sulfuric acid for batteries will be stored appropriately at dry and closed places and trainings will be provided to ensure that workers can handle sulfuric acid safely. Information will be provided to local villagers about the potential risk of using batteries of the solar kits. Solar kits are expected to last 10 years except for batteries that need to be replaced every 2 years. The Company will require that the selected contractor collects used batteries, ensure adequate disposal/recycling and install new ones. The solar kits are the renewable energy feature of the Project as approximately 15% of the connection will be solar. The Project’s Green House Gas (GHG) emissions should be less than that of Comasel St. Louis. Approximately 135kW of solar kits will be installed. Assuming six hours per day of generation, the Project will generate 296,000 kWh of solar electricity per year. Senegalese oil-fired generation in 2004-2006 had 888 gCO2/kWh performance. The Project is estimated to displace about 263 ton CO2/year assuming that this amount of electricity be supplied by oil-fired generation. As part of the annual monitoring report to IFC the Company will be required to provide annual GHG emissions figures. PS4: COMMUNITY HEALTH SAFETY AND SECURITY The Project could present potential health and safety risks to the community such as electrocutions; fall of poles; potential explosion from batteries if there is lack of adequate ventilation; fire – particular in villages where huts are either entirely or partially made of straw; and noise during construction. The EMP included in the ESIA provides measures to mitigate these risks and includes: requirements for contractors to inform local communities before start of construction; limiting nighttime construction activities; ensuring that an awareness campaign on the risks of electrocution and falls of pylons is taken prior to construction; and ensure that users are well informed of the health and safety considerations of using solar kits. The Company as part of its ESMP will develop brochures and organize focus groups to raise awareness on the aforementioned risks.

As part of its main role to manage the country’s rural electrification programs, ASER has been in charge of disseminating information on on-going activities (www.aser.sn). In compliance with the EIA guidelines, ASER has consulted with the local community through the public disclosure of the EIA and meetings with local authorities and an NGO group in 2004 when the ESIA was undertaken. Furthermore, the Project has had a good amount of media coverage (television, radio and press). A press conference was released in November 2009 on the Project and the concessionaire; and was well attended by local authorities from the Louga region. The Company plans to undertake an awareness campaign on the Project coupled with business development starting in December 2010.
