Project Description

Mindoro Resources Ltd. (“Mindoro” or the “Company”), through 100% owned subsidiary MRL Gold Phils. Inc (MRL Gold) owns 75% of the Agata nickel project. The project description remains largely as stated in the original ESRS with the following exceptions; staffing levels in the Philippines were reduced due to the 2009 downturn to about 30 currently (but expected to ramp up again).

The proposed IFC investment in Mindoro is solely for funding ongoing resource drilling, feasibility and other studies, and exploration work with a limited footprint. The proposed IFC investment is approximately $2.1 million.

IFC recognizes that the exploration project has the long-term potential to develop into a world class nickel resource and large-scale mine. The intent of a DSO operation would be as a first phase to generate cash flow for the Company as a step towards a potential larger scale development. For each phase of development IFC will require appropriate documentation meeting the IFC Performance Standards. Thus, an ESIA will be required for any DSO operation and a further ESIA for any larger scale development. The documentation at each stage will be subject to a full Free Prior Informed Consultative process. Any future IFC investments will be categorized according to impacts generated by that project.

Overview of IFC's Scope of Review

IFC undertook an environmental and social review of this project between January and August 2008 for which an ESRS and ESAP were publicly disclosed in September 2008. The project was not submitted to the IFC Board as exploration activities ceased due to the global financial crisis. In April 2010, the company restarted exploration and IFC undertook its second appraisal. This ESRS updates the version previously disclosed and should be read in conjunction with it.

The proposed investment covers only ongoing exploration and completion of feasibility and other studies. The Direct Shipping of Ore (DSO) mining operation at Agata referenced in the original ESRS will not occur under this investment. Prior to commencement of any mining development such as a DSO operation, MRL will complete a full Environmental and Social Impact Assessment (ESIA) meeting the IFC Performance Standards. The ESIA will form part of the feasibility studies being financed.

The second appraisal consisted of reviewing environmental, social, health and safety documentation including public consultation and disclosure, grievance mechanisms, the environmental and social management system and Company performance. Interviews were conducted with all the directly affected communities in the Agusan del Norte project area and the indigenous community of the Manobo and the Mamanwa who were indirectly impacted by the extension of an existing public road.
