Project Description

Consorcio Energético Punta Cana Macao (CEPM), and its wholly-owned subsidiary, Compañía Electricidad Bayahibe (CEB), are off-grid, vertically integrated private utilities. They serve resort hotels and their surrounding communities along the eastern and south-eastern shores respectively in the Dominican Republic. The CEPM plant has an installed capacity of 75 MW and the CEB plant has an installed capacity of 13 MW, all in diesel generation. CEPM and its subsidiary CEB have thus far generated all of their electricity requirements from their own generation facilities. However, in order to meet accelerated growth in peak demand, CEPM and CEB plan to interconnect to the Sultana del Este power plant, owned by their sister company, Empresa Generadora de Electricidad Haina, S.A. (EGE Haina) to benefit from its more cost-competitive electricity. EGE Haina is the largest generator in the country, which is majority owned and controlled by the sponsors of CEPM.

The proposed IFC investment, a corporate loan of $20 million to CEPM and CEB, will finance part of the construction of a 129 km overhead power transmission line with 100MW capacity, including three sub-stations. The transmission line will be off-grid and dedicated to transfer electricity from the EGE Haina’s Sultana del Este power plant in San Pedro de Macorís (a 150 MW diesel plant running on HFO) through a substation to be built by CEPM adjacent to Central Romana (a privately owned plant that provides energy to the Casa de Campo resort) to a substation to be built within the CEPM plant in Punta Cana. Total project costs are estimated at $35 million. ELECNOR of Spain will construct the transmission line, while ABB from Switzerland will be responsible for the substations. The construction period is expected to be 18 months. The Borrowers (CEPM and CEB) will purchase electricity from the EGE Haina under a power purchase agreement.

The transmission line will pass through three provinces: San Pedro de Macorís, La Romana and La Altagracia. The line will have two sections:

- from San Pedro de Macorís, where the 150MW Sultana power plant is located, to Central La Romana; and
- from Central La Romana to the locality of Bávaro in Punta Cana, Province of Altagracia, where the CEPM plant is located.

There will be three substations, one at the Sultana power plant in San Pedro de Macorís, another in the Central La Romana, and the third in the CEPM plant in Punta Cana. The transmission line will cross mostly rural areas of the eastern shore of the country. An existing 69 kV transmission line will connect the Central La Romana substation with the CEB substation in Bayahibe.

Overview of IFC's Scope of Review

IFC’s review included:

- the project components to be financed by the IFC loan (a 129 km transmission line and three substations);
- the plant that will generate the power to be transmitted by the 129 km line (the Sultana del Este plant, owned by Empresa Generadora de Energía Haina S.A. – EGE Haina S.A.); and
- two plants being operated by the project Sponsors, the Consorcio Energético Punta Cana Macao (CEPM) and its wholly-owned subsidiary, Compañía Electricidad Bayahibe (CEB).

Like the earlier IFC investment in CEPM (Basic Energy, project #21363), this is a Category B project because a limited number of specific environmental and social impacts may result, which can be avoided or mitigated by adhering to generally recognized performance standards, guidelines or design criteria. The transmission line runs mainly through sugar cane fields and uncultivated land. Right of way acquisition in not likely to affect more than ten dwellings.

Environmental and Social Mitigation Measures

The Borrowers (CEPM and CEB) have assessed the potential impacts of the project and will ensure that its construction and implementation will comply with Dominican legislation and IFC’s Performance Standards.

The following sections provide information on the potential impacts of the project and the manner in which they will be addressed. In addition to the project components to be financed by the IFC loan (CEPM’s transmission line San Pedro-Central Romana-Bávaro/Punta Cana and three substations), the following sections also analyze the environmental and social performance of the EGE Haina Sultana del Este plant in San Pedro de Macorís, which will generate the power to be transmitted through the transmission line, as well as the environmental and social performance of the CEPM and CEB plants, given that IFC is providing a corporate loan to CEPM and CEP. The potential impacts of CEPM’s Wind Project are not analyzed here. The impacts of this project, which has not yet been implemented, were evaluated in the Environmenal Review Summary produced as part of the first IFC loan to CEPM. - PS1: Social and Environmental Assessment and Management System

CEPM (including its subsidiary CEB) and EGE Haina have a common system of social and environmental assessment and management. Both companies have corporate environmental policies (see attachments 1-3), Environmental Management Systems (EMS) based on ISO 14001:2004, Environmental Management Plans—EMPs for their operations (see attachments 4-6), and social investment programs focusing on environmental conservation and educational programs (see attachment 7). Prior to the implementation of new projects, CEPM and EGE Haina carry out Environmental Impact Assessments (EIAs), covering social, environmental, health and safety aspects. Both companies use external consultants for the preparation of EIAs and the corresponding EMPs.

The EIA for the new transmission line, including the Environmental Management Plan, was completed in July 2006 (see attachment 8). CEPM has started the construction of the line, and has applied for but not yet obtained the environmental permit from SEMARN, the GoDR environmental agency. IFC has informed CEPM that obtaining the permit will be a condition of disbursement of the IFC loan.

The EMS is headed by the EGE Haina Corporate Environmental Manager and Corporate Communications Manager. The Corporate Environmental Manager supervises an environmental consulting firm (Consultores Ambientales y de Proyectos, S.A. – CAPSA), which provides environmental services to CEPM and CEB and is responsible for environmental and social management and monitoring at the CEPM and CEB plants. EGE Haina’s Sultana del Este plant has its own Environmental Coordinator, who reports to the Corporate Environmental Manager. EGE Haina’s Corporate Communications Manager is responsible for community projects and programs being implemented by EGE Haina, CEPM and CEB.

Training for all of Haina’s and CEPM’s employees begins with an induction program for new employees covering environmental management and occupational health and safety. The Environmental/Health and Safety Coordinators at each plant identify the training needs of employees and implement appropriate training programs.

The environmental and health and safety performance of the power plants is monitored through external and internal audits. Internal audits are carried out twice per year and external audits are carried out at the request of senior management.

The Corporate Environmental Manager, in coordination with CAPSA, the consulting firm that provides environmental services to CEPM, is responsible for preparing monthly environmental and social reports for senior management of EGE Haina and CEPM.

- PS2: Labor and Working Conditions

As of March 1st, 2007, CEPM and its subsidiary CEB had a total of 181 employees (96 in the CEPM plant in Bávaro, 44 in the CEB plant in Bayahíbe, and 41 in the administrative office in Santo Domingo). EGE Haina has 410 employees, of which 88 work at the Sultana del Este plant. ELECNOR of Spain, the construction contractor that is building CEPM’s transmission line San Pedro-Central Romana-Bávaro/Punta Cana is currently employing 53 workers.

CEPM and CEB have common human resources policies and procedures, which define the rights and obligations of employees. The policies and procedures were developed by the Human Resources Department taking into account the provisions of the Labor Code of the Dominican Republic. New employees receive an Induction Manual at the time of hiring, which includes a summary of the companies’ human resources policies and procedures. EGE Haina uses an Employee Manual to provide information on working conditions and terms of employment, which reflect the requirements of national law.

The workforce of CEPM, CEB and EGE Haina is not unionized, notwithstanding that in the Dominican Republic workers have the right to form and to join workers’ organizations. Human resources staff indicated to IFC staff that none of the three companies have done anything to discourage workers from forming unions or from bargaining collectively and that none of them have experienced labor unrest.

CEPM, CEB and EGE Haina adhere to the principle of non-discrimination and equal opportunity. They do not employ minors and require contractors to comply with this policy and Dominican labor legislation.

Each plant operated by CEPM, CEB and EGE Haina has a Health and Safety Program, based on an assessment of occupational risks, and implemented by a Health and Safety committee (Comité de Seguridad Industrial y Medio Ambiente) at each plant.

- PS3: Pollution Prevention and Abatement:

CEPM’s transmission line project will deliver two important environmental benefits. First, the project is expected to reduce the amount of CO2 emissions per kWh delivered to consumers, as a result of the greater fuel efficiency of the Sultana plant, relative to the CEPM and the CEB plant. Second, the transmission line will reduce the need to transport fuel by truck, which will lower the risk of accidents and spills.

CEPM/CEB and EGE Haina develop plans to prevent and control pollution during project construction and operation as part of the preparation of EMPs. Qualified environmental consultants are used to assess new projects and monitor performance of facilities. Internal environmental audits are carried out twice a year.

In the case of the transmission line San Pedro-Central Romana-Bávaro, an EMP was prepared as part of the EIA. CEPM will ensure the implementation of the measures included in the EMP, such as erosion and sediment control during and after construction.

The EGE Haina’s Sultana del Este power plant went into operation in 2002, under an operating and maintenance contract with Wärtsilä. When the contract expired in November 2006, EGE Haina assumed the operations and maintenance of this plant, which comprises nine large diesel engine driven power units that operate on heavy fuel oil with 2% sulfur content. Stack emissions testing was conducted in October 2002 by an external service provider. Additional testing has been conducted over the life of the plant, most recently in March 2007. The emissions tests from 2002 indicate substantial compliance with national and WBG requirements at the time (Particulate Matter met Dominican requirements, but slightly exceeded the WBG guideline). While the 2007 results also indicate compliance, the company discovered possible issues with test equipment calibration. This equipment has been calibrated and the company plans to retest the plant in the near term. Going forward, emissions will be tested on a monthly basis. The Sultana del Este plant has equipment and procedures to manage sanitary waste and sludge. Sanitary waste and other liquid effluents are stored in the plant and disposed by service providers approved by SEMARN.

The CEPM plant in Bávaro operates in accordance with good industry practices. A Report on Environmental Compliance prepared for SEMARN includes an Action Plan to improve environmental performance in key areas, including environmental monitoring and management of hazardous materials. According to this report, the plant’s atmospheric emissions (SO2, CO, NOX, CO2) were within the norms established by SEMARN. The use of fuel with low sulfur content contributes to low emissions of SO2. Noise levels generated by the CEPM plant meet the norms of SEMARN; the planting of trees around the plant has reduced noise from 76.6 dBA to 62.3 dBA.

The CEB plant in Bayahibe also operates in accordance with good industry practices. SO2 emissions are within SEMARN’s permissible limits. The generating facilities are newer and quieter than those in the CEPM plant. An Environmental Compliance Report prepared for SEMARN in July 2006 did not identify major out-of-compliance items, but included an Action Plan to improve environmental performance in key areas.

- PS4: Community Health and Safety

As part of the EGE Haina/CEPM’s community engagement program, the company will inform communities living near the 129 km transmission line project about the potential risks of the project during construction and operation. A special effort will be made in the sections of the line that are near Punta Garza and Bávaro, as these areas are potential locations of illegal occupation (see below).

EGE Haina/CEPM’s environmental staff believes that the Sultana plant and the CEPM and CEB plants do not pose serious health, safety or security risks to families or communities living in nearby areas. In order to confirm this, the company will evaluate the potential hazards (explosion, fires, spills, etc.) posed by the EGE Haina, CEPM and CEB plants to persons living in their vicinity, as well as risks to communities along the transportation routes used by fuel trucks, and develop emergency response procedures, involving potentially affected communities, if appropriate.

- PS 5: Land Acquisition and Involuntary Resettlement

The construction of the 129 km transmission line requires the acquisition of a 20-meter wide right of way. The first section of the line (from San Pedro de Macorís, where the 150MW Sultana power plant is located, to Central La Romana) will be built parallel to an existing transmission line (owned and operated by CDEEE) and will affect about 60 properties. CEPM has reached agreement on the compensation payments with all of the landowners, except for three. Only one structure occupies the right of way of this section of the line. EGE Haina staff described it as a rancho para trasnochar (structures used by workers for overnight stays). This structure will have to be relocated.

The second section of the line (from Central La Romana to CEPM in Bávaro) runs mainly through the sugar cane fields of Central La Romana Corporation, a large conglomerate that owns a huge expanse of land from Romana to Punta Cana, including approximately 70% of the land required for this section of the line. The remaining portion of the line crosses two large properties (owned by CEYA, a state-owned sugar company, and by the Vicini family, one of the wealthiest families in the country) and a number of smaller properties located near Bávaro, where the line is likely to affect a few dwellings. According to CEPM staff, the line is not likely to affect more than ten dwellings.

EGE Haina’s legal team, with the support of CDEEE staff, acts for CEPM and negotiates the acquisition of the rights of way or servidumbres with the landowners, and takes the necessary steps to register them legally. The legal team is undertaking in-depth due diligence to verify the rightful owners of properties along the proposed transmission route. The land prices that serve as a basis for negotiations are determined by the Dominican Institute of Appraisers (Instituto de Tasadores Dominicanos—ITADO). EGE Haina has so far been successful in negotiating agreements with the landowners. EGE Haina/CEPM will develop formal procedures to acquire rights of way and will prepare a Resettlement Action Plan to ensure that all the occupants of dwellings within the ROW of the transmission line are relocated in compliance with the requirements of PS5.

The CDEEE transmission line that runs parallel to the project’s transmission line from San Pedro de Macorís to Central La Romana is currently occupied by dwellings in an area that is close to the community Punta Garza. These dwellings were built after the construction of the transmission line. The project’s transmission line was rerouted to avoid resettlement in Punta Garza, but the occupation of the right of way, after the line is built, is very likely. This risk will also exist near Bávaro. For this reason CEPM will develop a program to prevent the future occupation of the right of way of the transmission line.

- PS6: Biodiversity Conservation and Sustainable Natural Resource Management

The section of the transmission line from San Pedro de Macorís to Central La Romana goes through two protected areas: 1 km in the Río Soco Wildlife Sanctuary (Refugio de Vida Silvestre Río Soco) and 4 km in the National Monument Río Cumayasa-Cueva de las Maravillas. The locations of these protected areas are shown in Figure 1 (see Attachment 9).

The National Monument Río Cumayasa y Cueva de las Maravillas, with an area of approximately 88.5 km², is a Category III protected area, which is defined by the World Conservation Union as an area “containing one, or more, specific natural or natural/cultural feature which is of outstanding or unique value because of its inherent rarity, representative or aesthetic qualities or cultural significance”. Cueva de las Maravillas is a newly opened cave system that used to be a burial ground for indigenous peoples. The general area is important because of its beauty and biodiversity. CEPM, in coordination with the construction contractor, will put in place measures protect habitat/species during the construction of the line and the access roads.

- PS8: Cultural Heritage

The transmission line will not impact the Cueva de las Maravillas. There is a distance of approximately 2 km from the Cueva and the closest tower.

EGE Haina/CEPM will develop formal chance find procedures in consultation with the construction contractor in order to protect objects with cultural/archaeological value or other chance finds. The procedures will ensure that suspension of construction in the event that excavation activities uncover archeological artifacts or other chance finds and that the Museo del Hombre Dominicano has determined an appropriate course of action. EGE Haina/CEPM will assist the Museo del Hombre Dominicano in the monitoring of any excavation to rescue archeological objects and will contract the services of a competent specialist, if necessary.

Stakeholder Engagement

Two public consultation meetings were conducted as part of the preparation of the EIA for the 129 km transmission line (Proyecto Energético Línea de Transmisión 138 kV San Pedro-La Romana-Bávaro). The first took place on June 21st, 2006, in Bávaro/Punta Cana, Province of Higüey; the second took place on June 28th, 2006, in Punta Garza, Province of San Pedro de Macorís. The sites for the meetings were selected on the basis of a stakeholder analysis. Figure 2 in Attachment 9 shows the location of Bávaro and Punta Cana, as well as the location of other communities located near the transmission line.

During the meeting in Punta Garza, representatives of this community expressed opposition to the project because a section of the line passed through this community. Representatives asked the sponsor to consider alternative routes. CEPM did so and found an alternative route that avoids the populated area of Punta Garza. The meeting in Bárbaro showed that this community supported the project. They believed that the project would contribute to the development of tourism, which is critical for the development of this community. Other communities along the line showed indifference towards the project because they are not directly affected.

CEPM/EGE Haina will prepare, as part of its Community Engagement Program, a plan to inform the communities living near the transmission line about the progress of construction and the manner in which potential adverse impacts and risks are being addressed.

CEPM and CEB support community programs that focus on environmental conservation, education and training. These programs are targeted to communities located near the CEPM and CEB plants (Bávaro, Berón and Macao in the case of CEPM; Bayahibe, Padre Nuestro, Benerito and Limón in the case of CEB). In addition, CEPM and CEB support community development initiatives through partnership with other organizations, such as the U.S. Chamber of Commerce, the local municipalities, and NGOs.

IFC supports its clients in addressing environmental and social issues arising from their business activities by requiring its real sector clients to set up and administer appropriate grievance mechanisms and/or procedures to address complaints from Affected Communities in relation to environmental and social issues arising from IFC's clients' business activities. Since 2012, IFC's Financial Intermediary clients applying the Performance Standards are required to develop External Communications Mechanisms to receive and review inquiries or complaints from any interested party regarding the E&S risks and impacts of their operations.

For IFC projects that are active or under consideration, individual(s), or their authorized representative(s), who allege they have been or will be adversely affected by E&S risks or impacts arising from IFC's clients' business activities, may submit a complaint to IFC directly for consideration. When receiving an E&S complaint, IFC engages with complainants and works with its clients to find solutions to E&S concerns as quickly and efficiently as possible.

IFC complaint response is separate from and complementary to IFC’s clients’ project level grievance mechanisms and IFC’s Independent Accountability Mechanism (CAO). Lodging a complaint directly with IFC does not, at any time, restrict access to CAO.

Affected communities have unrestricted access to the Compliance Advisor Ombudsman (CAO), the independent accountability mechanism for IFC and MIGA. CAO facilitates the resolution of complaints related to IFC and MIGA projects and sub-projects, undertakes reviews of IFC’s and MIGA’s environmental and social compliance, fosters public accountability for their commitments, and enhances the environmental and social performance of IFC and MIGA.

Independent of IFC and MIGA management and reporting directly to the IFC and MIGA Boards of Executive Directors, CAO helps resolve issues raised about the environmental and social impacts of projects through a neutral, collaborative, problem-solving approach via its Dispute Resolution function. It also reviews IFC’s and MIGA’s compliance with environmental and social policies, assesses related harm, and recommends remedial actions through its Compliance function. Additionally, CAO provides advice to IFC, MIGA, and their Boards to enhance environmental and social sustainability performance and minimize the risk of harm.

Complaints may relate to environmental and social harm regarding any aspect of the planning, implementation, or impact of a project or sub-project, and can be made by any individual, group, community, entity, or other party affected or likely to be affected by the environmental or social impacts of an IFC- or MIGA-financed business activity.

This Environmental and Social Review Summary (ESRS) is prepared by IFC to disclose its findings and recommendations related to environmental and social considerations regarding potential investments. Its purpose is to enhance the transparency of IFC's activities. For any project documentation or data included or attached herein, whether prepared by the project sponsor or otherwise, authorization has been given for public release by the project sponsor. IFC considers that this ESRS is of adequate quality for release to the public, but has not necessarily independently verified all of the project information therein.
It is distributed in advance of IFC Board of Directors' consideration and may be periodically updated thereafter. Board dates are estimates only and this document should not be construed as presuming the outcome of the Board Directors’ decision.
