Project Description

 Upper Trishuli 1 is a 216 MW run of river hydropower project on the Upper Trishuli river in Nepal (“UT1” or the “Project”), owned by a special purpose vehicle, Nepal Water & Energy Development Corporation (“NWEDC” or the “Company”) established under the laws of Nepal.  NWEDC is majority-owned by Korean sponsors: 50% by Korea South East Power Company (“KOEN”), 15% by Daelim Industrial Co. Ltd. (“Daelim”) and 10% by Kyeryong Construction Industrial Co. Ltd. (“Kyeryong”) (KOEN, Daelim and Kyeryong are together the “Sponsors”). Through IFC InfraVentures, IFC has been co-developing the Project with a 15% stake since 2012. The local partner is Mr. Bkesh Pradhanang, the original developer/license holder, with a 10% shareholding.  IFC is considering providing an A loan of up to US$90 million, mobilizing the remaining debt required for the Project as B loans/parallel loans, and providing equity to maintain its 15% shareholding in the Company. 

The Project is expected to be the largest foreign direct investment in Nepal to date and will sell power to Nepal Electricity Authority (“NEA”), the national utility, for domestic supply under a 35-year power purchase agreement (“PPA”).  The Project will be developed on a Build, Own, Operate and Transfer (“BOOT”) basis under a 35-year concession agreement (Project Development Agreement or “PDA”) with the Government of Nepal’s (“GoN”) Ministry of Energy (“MOE”), signed in December 2016
