Astarta Holding PLC is listed on the Warsaw Stock Exchange, with major shareholders including the Ivanchyk family (41.47%) and Fairfax Financial Holdings (29.91%), while the remaining shares are distributed among other shareholders and are subject to trading at the Warsaw Stock Exchange, with no single shareholder holding 10% or more (as of November 12, 2024).                                                  

 IFC is considering providing to the Company a corporate long-term financing package that will comprise of: (i) a senior A Loan (“A Loan”) of up to US$50.7 million for IFC’s own account, (ii) a senior unsecured loan of up to US$24.4 million from IFC, acting in its capacity as an implementing entity of the Economic Resilience Program for Ukraine (“ERA”), supported by the Netherlands (the “ERA NL Loan”), and (iii) a B Loan (“B Loan”) of up to US$40 million for the account of participants, provided that the combined amount of the A Loan, ERA NL loan, and B loan would not exceed US$80 million. IFC’s A Loan would be supported by a first-loss guarantee (“FLG”) of up to US$25.4 million from the from the European Commission’s Ukraine Investment Framework (“EC-UIF”) and IFC acting in its capacity as implementing entity of ERA NL and/or the ERA Program for Ukraine – supported by France (“ERA France”) as further described in the Blended Finance Section.

 This is a Category B project according to IFC’s 2012 Policy on Environmental and Social Sustainability as this investment will have limited adverse E&S risks and/or impacts that are few in number, generally site-specific, largely reversible, and readily addressed through mitigation measures, as described in the sections below. The key E&S risks and issues associated with this investment are: a) the company’s environmental and social management system (ESMS), organization and capacity to assess and manage E&S risks and impacts of the project, including contractor management; b) human resources management and working conditions, OHS of direct and contracted workers; c) resource efficiency; d) monitoring and management of air emissions, noise, wastewater, residues and waste, hazardous materials during operations and construction; e) operation hazards in soya processing, emergency preparedness and response plan, life and fire safety; f) raw materials sourcing and sustainable management of such resources; g) community health, safety and security; and h) stakeholder engagement.
